Canadian disclosure — CSA, SEDAR+, and provincial securities regulation

Canadian listed-issuer disclosure is governed by the Canadian Securities Administrators (CSA), an umbrella body of the thirteen provincial and territorial securities regulators. There is no single federal securities regulator: in practice, the Ontario Securities Commission (OSC), the Autorité des marchés financiers (AMF Québec), the British Columbia Securities Commission (BCSC), and the Alberta Securities Commission (ASC) handle the bulk of reporting-issuer oversight. All continuous-disclosure filings are submitted through SEDAR+ — the next-generation filing system that relaunched in 2023 as the successor to the original SEDAR — which serves as Canada's canonical public filing repository, analogous to EDGAR in the United States.

The key periodic forms under National Instrument 51-102 (Continuous Disclosure Obligations) are the Annual Information Form (AIF) — the closest Canadian equivalent to the US 10-K, containing business description, risk factors, and operational detail — accompanied by audited annual financial statements and the Management's Discussion and Analysis (MD&A). Quarterly reporting delivers interim financial statements and MD&A. Material-change reports serve the ad-hoc disclosure function. Canada adopted IFRS as mandatory for TSX-listed reporting issuers in 2011; US GAAP is permitted for SEC-registrant cross-listed issuers. FinancialReports indexes AIFs, annual and interim financial packages, and material-change reports within roughly one minute of SEDAR+ publication.

Filing language is predominantly English, with French required for Québec-domiciled issuers and voluntary for others. AMF Québec filers frequently publish full dual-language disclosure packages; most other issuers file English-only. The dataset preserves both languages where present, with language metadata on every filing record. iXBRL-tagged filing is not yet mandatory under the Canadian regime, though the CSA has been consulting on structured-data requirements since 2022.

The Canadian disclosure architecture is notable for its inter-jurisdictional complexity — a TSX-listed issuer incorporated in British Columbia, headquartered in Alberta, and reporting to OSC as its principal regulator will navigate three regulatory environments simultaneously. SEDAR+ aggregates that complexity into a single access point, and the FinancialReports API surfaces the same normalised records regardless of which provincial regulator accepted the filing.
