The Brazilian listed-company landscape — B3 and Ibovespa

Brazil's B3 (Brasil Bolsa Balcão) is Latin America's dominant exchange by market capitalisation and the only significant domestic equity market in the region, home to approximately 430 listed companies. B3 was formed in 2008 through the merger of the São Paulo exchange (Bovespa) with the Brazilian futures and commodities exchange (BM&F), and absorbed the OTC derivatives market of Cetip in 2017. The headline indices — Ibovespa (the benchmark, ~90 liquid large caps), IBrX 50 (50 most-traded), IBrX 100, and SMLL (small caps) — structure the institutional-investable universe across cap tiers.

Sector composition reflects Brazil's resource-and-banking economy: Financials (Itaú Unibanco, Bradesco, Banco do Brasil, BTG Pactual, XP, Nubank), Materials and Commodities (Vale, Gerdau, Suzano), Energy (Petrobras, Raízen, Vibra), and Consumer Discretionary (Magazine Luiza, Americanas, Assaí) carry the bulk of Ibovespa weight. The index also contains significant exposure to Agribusiness (JBS, Marfrig, BRF, SLC Agrícola) and Telecoms (TIM, Claro via Embratel), with Healthcare and Technology growing in share through domestic champions like Hapvida, Raia Drogasil, and Totvs.

B3 operates a tiered corporate-governance framework that is unique in Latin America: Novo Mercado (highest standards — one share, one vote; 25% minimum free float; 100% tag-along rights), Nível 2 (with preferred shares but full economic tag-along), and Nível 1 (minimum disclosure and free-float standards above the basic market). Novo Mercado now accounts for the majority of new IPOs and a growing share of listed market cap, with institutional investors actively screening for governance tier before taking positions.
