Corporate reorganisation of the WIIT Group

Resolution approving the merger by incorporation of Adelante S.r.l., Matika S.p.A. and Etaeria S.p.A. into WIIT S.p.A. filed at the Companies Registration Office

Milan, May16, 2022 - Further to the press release issued on May 11, 2022, WIIT S.p.A. ("WIIT" or the "Company") announces that - on today's date - the resolution of the Board of Directors' of the Company which - pursuant to Article 2505, paragraph 2, of the Italian Civil Code and Article 16, paragraph 2, of the By-Laws - approved the merger by incorporation into WIIT of the wholly-owned subsidiaries Adelante S.r.l., Matika S.p.A. and Etaeria S.p.A. was filed at the competent Companies Registration Office.

The minutes approving the merger and the additional documents relating to the transaction are available to the public at the registered office of the companies participating in the merger, on the WIIT website (https://www.wiit.cloud/it/) and at the authorised storage mechanism "eMarket STORAGE" ().
