Corporate reorganisation of the WIIT Group

Deed for the merger by incorporation of Adelante S.r.l., Matika S.p.A. and Etaeria S.p.A. into WIIT S.p.A. registered

Milan, July 26, 2022 - WIIT S.p.A. ("WIIT"), following on from the press release of July 21, 2022, announces that the deed for the merger by incorporation of Adelante S.r.l., Matika S.p.A. and Etaeria S.p.A. (jointly, the "Incorporated Companies") into WIIT (jointly with Incorporated Companies, the "Companies participating in the merger") has been registered today in all the relevant Companies Register offices.

The merger will have civil effect from August 1, 2022, while accounting and tax effects run from January 1, 2022.

It should also be noted that since the share capital of the Incorporated Companies is fully held by WIIT and the simplified merger procedure as per Article 2505 of the Civil Code applies, on the effective date of the merger, the shares/quotas of the Incorporated Companies will be cancelled without exchange. It is therefore not necessary to determine any method of allocation of the WIIT shares.
