Registration of the Proposal for the Merger by incorporation of Erptech S.p.A. into WIIT S.p.A.
Milan, November 21, 2022 - Further to the press release of November 10, 2022 - whereby it was announced, inter alia, that the board of directors of WIIT S.p.A. ("WIIT" or the "Company") had approved, as per Articles 2501-ter and 2505 of the Civil Code, the merger proposal (the "Merger Proposal") by incorporation of Erptech S.p.A. into the Company - it is hereby announced that the registrations of the Merger Proposal filed on November 11, 2022 with the respective Registers of Companies of the Companies Participating in the Merger took place today.
It is considered that the transaction will be completed in accordance with the simplified procedure as per Article 2505 of the Civil Code, subject to the option under Article 2505, paragraph 3, of the Civil Code.
The Merger Proposal and further documentation have been made available to the public pursuant to Article 2501-septies of the Civil Code. The documents concerning the merger were also published in accordance with the law and regulations on WIIT's website (https://www.wiit.cloud/it/ https://www.wiit.cloud/it/), in the "Investors" section, and on the authorised storage mechanism "eMarket STORAGE" ().
