Merger by incorporation of Erptech S.p.A. into WIIT S.p.A.

Milan, December 27, 2022 – Further to that communicated on December 20, 2022, WIIT S.p.A. ("WIIT" o la "Company") announces that on December 23, 2022, the resolution of the Company's Board of Directors which - pursuant to Article 2505, paragraph 2, of the Italian Civil Code and Article 16, paragraph 2, of the Articles of Association - approved the merger of the wholly owned subsidiary Erptech S.p.A. into WIIT (the "Merger") was registered with the competent Companies Register. On the same date, the resolution of the extraordinary shareholders' meeting of Erptech S.p.A. approving the Merger was also registered with the relevant Companies Register.

The minutes of the Board of Directors of the Company approving the Merger and additional documents related to the transaction are available to the public at the registered offices of the merging companies, on WIIT's website (https://www.wiit.cloud/it/) as well as at the authorized storage mechanism "eMarket STORAGE" ().
