ACQUISITION OF MAJORITY SHARE OF ETAERIA AND OF THE AEDERA BUSINESS COMPLETED

Milan, January 15, 2020 – Following on from that announced to the market on December 20, 2019, WIIT S.p.A. ("WIIT" or the "company"), a leading Italian player in the Cloud Computing market of enterprises demanding uninterrupted Hybrid Cloud and Hosted Private Cloud services for critical applications, announces the acquisition today of 60% of the shares comprising the share capital of ETAERIA S.r.l. ("ETAERIA") and of the business owned by Aedera S.r.l. ("AEDERA"), in execution of the sales contract signed on December 19, 2019. The main terms and conditions of the transaction were already outlined in the press release of December 20, 2019, to which reference should be made.

As provided for, a contract was also signed today between the company and the seller of ETAERIA covering the possible acquisition of the remaining part of the share capital of ETAERIA by WIIT through a put option (for the seller) and a call option (for WIIT). Furthermore, WIIT and the seller of the stake in ETAERIA entered into a shareholders' agreement covering ETAERIA's corporate governance, with the establishment (subject to the control of WIIT) of certain veto rights for the seller and of certain limits on the transfer of the shares.

The Shareholders' Meeting of ETAERIA was also held today resolving upon the appointment of the new Board of Directors comprising 5 members - including Alessandro Cozzi as Chairman, and Messrs. Michele Pagliuzzi and Marco Pettinati, the existing ETAERIA directors – in addition to the Board of Directors' meeting of ETAERIA to appoint Michele Pagliuzzi and Marco Pettinati as Chief Executive Officers of ETAERIA, conferring them ordinary operating powers over ETAERIA.
