Acquisition of majority share of Matika S.p.A. completed

Milan, July 4, 2019 – following on from that announced to the market on June 20, 2019, WIIT S.p.A. ("WIIT" or the "company"), a leading Italian player in the Cloud Computing market of enterprises demanding uninterrupted Hybrid Cloud and Hosted Private Cloud services for critical applications, announces that 60% of the shares comprising the share capital of Matika S.p.A. ("MATIKA") were today acquired against the payment of an acquisition price of approx. Euro 6.4 million (including the 60% of the estimated cash and net of a withholding guarantee upon any price adjustments and indemnities), in execution of the sales contract signed on June 20, 2019.

The main terms and conditions of the transaction were already outlined in the press release of June 20, 2019, to which reference should be made.

As stipulated, a contract was also signed today between the company and the sellers covering the acquisition of the remaining part of the share capital of MATIKA by WIIT through a putoption (for the sellers) and a call option (for WIIT), in addition to a shareholder's agreement covering the corporate governance of MATIKA, with the setting (with control maintained by WIIT) of certain veto rights in favour of the sellers and of share transfer limits.

The Shareholders' Meeting of MATIKA was also held today, approving the appointment of the new Board of Directors comprising seven members - including Alessandro Cozzi as Chairman, and Stefano Dario (previously chief executive officer of MATIKA) - in addition to the meeting of the Board of Directors of MATIKA for the appointment of Stefano Dario as chief executive officer of MATIKA, conferring him ordinary operating powers over the company.
