Loss of "SME" status due to exceeding market cap threshold

Milan, 19 January 2024 – WIIT S.p.A. ("WIIT" or the "Company"; ISIN IT0005440893; WIIT.MI), one of the leading European operators in the market of cloud computing services for enterprises, focused on the provision of continuous Hybrid and Private Cloud services for critical applications, announces, pursuant to Art. 2-ter, paragraph 2, of Consob Regulation No. 11971/1999 (the "Issuers' Regulation"), that it no longer qualifies as a "Small and Medium Enterprise" ("SME") pursuant to Article 1, paragraph 1, letter w-quater.1 ), of Legislative Decree No. 58/1998 (the "TUF") as of January 1, 2024, having exceeded the market cap threshold of Euro 500.0 million for three consecutive years (2021, 2022 and 2023).

It should be noted that, as a result of the loss of SME status, the first threshold for the purposes of the disclosure obligations of significant shareholdings is set at 3% of the capital, in accordance with the provisions of Article 120, paragraph 2, of the TUF (to be understood as referring, in the case of companies that provide for voting majority as WIIT, to the total number of voting rights).

Therefore, shareholders who, as of the date of this press release, hold stakes of more than 3 percent and less than 5 percent of WIIT's capital (to be understood as stated above) shall notify Consob and the Company in accordance with and within the terms set forth in Articles 117, paragraph 2-bis, and 121, paragraph 3-bis, of the Issuers' Regulations.
