第一條 (訂定目的及適用範圍)
本公司為建立誠信經營之企業文化及健全發展,提供本公司建立良好商業運作之參考架
構,爰參酌「上市上櫃公司誠信經營守則」訂定本守則。
本誠信經營守則適用範圍及於本公司之子公司、直接或間接捐助基金累計超過百分之五
十之財團法人及其他具有實質控制能力之機構或法人等集團企業與組織(以下簡稱集團
企業與組織)。
第二條 (禁止不誠信行為)
本公司之董事、經理人、受僱人、受任人或具有實質控制能力者(以下簡稱實質控制者),
於從事商業行為之過程中,不得直接或間接提供、承諾、要求或收受任何不正當利益,
或做出其他違反誠信、不法或違背受託義務等不誠信行為,以求獲得或維持利益(以下
簡稱不誠信行為)。
前項行為之對象,包括公職人員、參政候選人、政黨或黨職人員,以及任何公、民營企
業或機構及其董事(理事)、監察人(監事)、經理人、受僱人、實質控制者或其他利害
關係人。
第三條 (利益之態樣)
本守則所稱利益,係指任何有價值之事物,包括任何形式或名義之金錢、餽贈、佣金、
職位、服務、優待、回扣等。但屬正常社交禮俗,且係偶發而無影響特定權利義務之虞
時,不在此限。
第四條 (法令遵循)
本公司應遵守公司法、證券交易法、商業會計法、政治獻金法、貪污治罪條例、政府採
購法、公職人員利益衝突迴避法、上市上櫃相關規章或其他商業行為有關法令,以作為
落實誠信經營之基本前提。
第五條 (政策)
本公司應本於廉潔、透明及負責之經營理念,制定以誠信為基礎之政策,經董事會通過,
並建立良好之公司治理與風險控管機制,以創造永續發展之經營環境。
第六條 (防範方案)
本公司制訂之誠信經營政策,應清楚且詳盡地訂定具體誠信經營作法及防範不誠信行為
方案(以下簡稱防範方案),包含作業程序、行為指南及教育訓練等。
本公司訂定防範方案,應符合公司及其集團企業與組織營運所在地之相關法令。
本公司於訂定防範方案過程中,宜與員工、重要商業往來交易對象或其他利害關係人溝
通。
第七條 (防範方案之範圍)
本公司應建立不誠信行為風險之評估機制,定期分析及評估營業範圍內具較高不誠信行

為風險之營業活動,據以訂定防範方案並定期檢討防範方案之妥適性與有效性。
本公司宜參酌國內外通用之標準或指引訂定防範方案,至少應涵蓋下列行為之防範措
施:
-
一、行賄及收賄。 -
二、提供非法政治獻金。 -
三、不當慈善捐贈或贊助。 -
四、提供或接受不合理禮物、款待或其他不正當利益。 -
五、侵害營業秘密、商標權、專利權、著作權及其他智慧財產權。 -
六、從事不公平競爭之行為。 -
七、產品及服務於研發、採購、製造、提供或銷售時直接或間接損害消費者或其他利害 關係人之權益、健康與安全。
第八條 (承諾與執行)
本公司應要求董事於每次改選時與高階管理階層變動時,重新簽署並出具遵循誠信經營
政策之聲明,並於僱用條件要求受僱人遵守誠信經營政策。
本公司及其集團企業與組織應於其規章、對外文件及公司網站中明示誠信經營之政策, 以及董事會與高階管理階層積極落實誠信經營政策之承諾,並於內部管理及商業活動中 確實執行。
本公司針對第一、二項誠信經營政策、聲明、承諾及執行,應製作文件化資訊並妥善保
存。

第九條 (誠信經營商業活動) -
本公司應本於誠信經營原則,以公平與透明之方式進行商業活動。 -
本公司於商業往來之前,應考量其代理商、供應商、客戶或其他商業往來交易對象之合 法性及是否涉有不誠信行為,避免與涉有不誠信行為者進行交易。
本公司與其代理商、供應商、客戶或其他商業往來交易對象簽訂之契約,其內容應包含
-
遵守誠信經營政策及交易相對人如涉有不誠信行為時,得隨時終止或解除契約之條款。 -
第十條 (禁止行賄及收賄) -
本公司及本公司董事、經理人、受僱人、受任人與實質控制者,於執行業務時,不得直 接或間接向客戶、代理商、承包商、供應商、公職人員或其他利害關係人提供、承諾、 要求或收受任何形式之不正當利益。 -
第十一條 (禁止提供非法政治獻金)本公司及本公司董事、經理人、受僱人、受任人與實質控制者,對政黨或參與政治 活動之組織或個人直接或間接提供捐獻,應符合政治獻金法及公司內部相關作業程 序,不得藉以謀取商業利益或交易優勢。

第十二條 (禁止不當慈善捐贈或贊助)-
本公司及本公司董事、經理人、受僱人、受任人與實質控制者,對於慈善捐贈或贊 -
助,應符合相關法令及內部作業程序,不得為變相行賄。

第十三條 (禁止不合理禮物、款待或其他不正當利益)本公司及本公司董事、經理人、受僱人、受任人與實質控制者,不得直接或間接提

供或接受任何不合理禮物、款待或其他不正當利益,藉以建立商業關係或影響商業
交易行為。
第十四條 (禁止侵害智慧財產權)
本公司及本公司董事、經理人、受僱人、受任人與實質控制者,應遵守智慧財產相
關法規、公司內部作業程序及契約規定;未經智慧財產權所有人同意,不得使用、
洩漏、處分、燬損或有其他侵害智慧財產權之行為。
第十五條 (禁止從事不公平競爭之行為)
本公司應依相關競爭法規從事營業活動,不得固定價格、操縱投標、限制產量與配
額,或以分配顧客、供應商、營運區域或商業種類等方式,分享或分割市場等造成
不公平的競爭行為。
第十六條 (防範產品或服務損害利害關係人)
本公司及本公司董事、經理人、受僱人、受任人與實質控制者,於產品與服務之研
發、採購、製造、提供或銷售過程,應遵循相關法規與國際準則,確保產品及服務
之資訊透明性及安全性,制定且公開其消費者或其他利害關係人權益保護政策,並
落實於營運活動,以防止產品或服務直接或間接損害消費者或其他利害關係人之權
益、健康與安全。有事實足認其商品、服務有危害消費者或其他利害關係人安全與
健康之虞時,原則上應即回收該批產品或停止其服務。
第十七條 (組織與責任)
本公司之董事、經理人、受僱人、受任人及實質控制者應盡善良管理人之注意義務,
督促公司防止不誠信行為,並隨時檢討其實施成效及持續改進,確保誠信經營政策
之落實。
本公司為健全誠信經營之管理,應設置隸屬於董事會之專責單位,配置充足之資源
及適任之人員,負責誠信經營政策與防範方案之制定及監督執行,主要掌理下列事
項,定期(至少一年一次)向董事會報告:
-
一、協助將誠信與道德價值融入公司經營策略,並配合法令制度訂定確保誠信經營 之相關防弊措施。 -
二、定期分析及評估營業範圍內不誠信行為風險,並據以訂定防範不誠信行為方案, 及於各方案內訂定工作業務相關標準作業程序及行為指南。 -
三、規劃內部組織、編制與職掌,對營業範圍內較高不誠信行為風險之營業活動, 安置相互監督制衡機制。 -
四、誠信政策宣導訓練之推動及協調。 -
五、規劃檢舉制度,確保執行之有效性。 -
六、協助董事會及管理階層查核及評估落實誠信經營所建立之防範措施是否有效運 作,並定期就相關業務流程進行評估遵循情形,作成報告。
第十八條 (業務執行之法令遵循)
本公司之董事、經理人、受僱人、受任人與實質控制者於執行業務時,應遵守法令
規定及防範方案。
第十九條 (利益迴避)

本公司應制定防止利益衝突之政策,據以鑑別、監督並管理利益衝突所可能導致不
誠信行為之風險,並提供適當管道供董事、經理人及其他出席或列席董事會之利害
關係人主動說明其與公司有無潛在之利益衝突。
本公司董事、經理人及其他出席或列席董事會之利害關係人對董事會所列議案,與
其自身或其代表之法人有利害關係者,應於當次董事會說明其利害關係之重要內容,
如有害於公司利益之虞時,不得加入討論及表決,且討論及表決時應予迴避,並不
得代理其他董事行使其表決權。董事間亦應自律,不得不當相互支援。
本公司董事、經理人、受僱人、受任人與實質控制者不得藉其在公司擔任之職位或
影響力,使其自身、配偶、父母、子女或任何他人獲得不正當利益。
第二十條 (會計與內部控制)
本公司應就具較高不誠信行為風險之營業活動,建立有效之會計制度及內部控制制
度,不得有外帳或保留秘密帳戶,並應隨時檢討,俾確保該制度之設計及執行持續
有效。
本公司內部稽核單位應依不誠信行為風險之評估結果,擬訂相關稽核計畫,內容包
括稽核對象、範圍、項目、頻率等,並據以查核防範方案遵循情形,且得委任會計
師執行查核,必要時,得委請專業人士協助。
前項查核結果應通報高階管理階層及誠信經營專責單位,並作成稽核報告提報董事
會。
第二十一條 (作業程序及行為指南)
本公司應依第六條規定訂定作業程序及行為指南,具體規範董事、經理人、受僱
人及實質控制者執行業務應注意事項,其內容至少應涵蓋下列事項:
-
一、提供或接受不正當利益之認定標準。 -
二、提供合法政治獻金之處理程序。 -
三、提供正當慈善捐贈或贊助之處理程序及金額標準。 -
四、避免與職務相關利益衝突之規定,及其申報與處理程序。 -
五、對業務上獲得之機密及商業敏感資料之保密規定。 -
六、對涉有不誠信行為之供應商、客戶及業務往來交易對象之規範及處理程序。 -
七、發現違反企業誠信經營守則之處理程序。 -
八、對違反者採取之紀律處分。
第二十二條 (教育訓練及考核)
本公司之董事長、總經理或高階管理階層應定期向董事、受僱人及受任人傳達誠 信之重要性。
本公司應定期對董事、經理人、受僱人、受任人及實質控制者舉辦教育訓練與宣
導,並邀請與公司從事商業行為之相對人參與,使其充分瞭解公司誠信經營之決
心、政策、防範方案及違反不誠信行為之後果。
本公司應將誠信經營政策與員工績效考核及人力資源政策結合,設立明確有效之
獎懲制度。
第二十三條 (檢舉制度)

本公司應訂定具體檢舉制度,並應確實執行,其內容至少應涵蓋下列事項:
-
一、建立並公告內部獨立檢舉信箱、專線或委託其他外部獨立機構提供檢舉信箱、 專線,供公司內部及外部人員使用。 -
二、指派檢舉受理專責人員或單位,檢舉情事涉及董事或高階管理階層,應呈報 至獨立董事,並訂定檢舉事項之類別及其所屬之調查標準作業程序。 -
三、訂定檢舉案件調查完成後,依照情節輕重所應採取之後續措施,必要時應向 主管機關報告或移送司法機關偵辦。 -
四、檢舉案件受理、調查過程、調查結果及相關文件製作之紀錄與保存。 -
五、檢舉人身分及檢舉內容之保密,並允許匿名檢舉。 -
六、保護檢舉人不因檢舉情事而遭不當處置之措施。 -
七、檢舉人獎勵措施。
本公司受理檢舉專責人員或單位,如經調查發現重大違規情事或公司有受重大損
害之虞時,應立即作成報告,以書面通知獨立董事。
第二十四條 (懲戒與申訴制度)
本公司應明訂及公布違反誠信經營規定之懲戒與申訴制度,並即時於公司內部網
站揭露違反人員之職稱、姓名、違反日期、違反內容及處理情形等資訊。
第二十五條 (資訊揭露)
本公司應建立推動誠信經營之量化數據,持續分析評估誠信政策推動成效,於公
司網站、年報及公開說明書揭露其誠信經營採行措施、履行情形及前揭量化數據
與推動成效,並於公開資訊觀測站揭露誠信經營守則之內容。
第二十六條 (誠信經營政策與措施之檢討修正)
本公司應隨時注意國內外誠信經營相關規範之發展,並鼓勵董事、經理人及受僱
人提出建議,據以檢討改進公司訂定之誠信經營政策及推動之措施,以提昇公司
誠信經營之落實成效。
第二十七條 (實施)
本公司守則經董事會決議通過實施,並應提報股東會報告;修正時亦同。
本公司依前項規定將誠信經營守則提報董事會討論時,應充分考量各獨立董事之
意見,並將其反對或保留之意見,於董事會議事錄載明;如獨立董事不能親自出
席董事會表達反對或保留意見者,除有正當理由外,應事先出具書面意見,並載
明於董事會議事錄。

第二章 股 份

第六條之一 本公司發行員工認股權憑證,其價格不受相關法令之限制,惟應有代表已發行股份 總數過半數之出席,出席股東表決權三分之二以上同意行之,並得於股東會決議之 日起一年內分次申報辦理。 -
第六條之二 本公司買回庫藏股,得以低於實際買回股份之平均價格,轉讓予員工,惟須依相關 法令及股東會同意行之。 -
第七條 本公司發行之股份得免印製股票,惟應洽證券集中保管事業機構登錄。 -
第八條 本公司股票事務之處理,悉依有關法令及主管機關之規定辦理;並得由本公司指定之股 務代理機構處理所約定之股務事宜。 -
第九條 股東常會開會前六十日內,或股東臨時會開會前三十日內,或公司決定分派股息及紅利 或其他利益之基準日前五日內,停止股票過戶。
第三章 股東會
第十條 本公司股東會分股東常會及股東臨時會兩種,股東常會每年開會一次,

於每會計年度終了後六個月內由董事會召開之,股東臨時會於必要時依
法召集之。

第十條之一 股東會之召集,常會應於三十日前,臨時會應於十五日前將開會之日期、地點及召 集事由通知各股東。持有已發行股份總數百分之一以上股份之股東,得以書面向本 公司提出股東常會議案。但以一項為限,提案超過一項者,均不列入議案。另股東 所提案有公司法第172 條之1 第4 項各款情形之一,董事會得不列為議案。本公司 應於股東常會召開前之停止股票過戶日前公告受理股東之提案、受理處所及受理期 間;其受理期間不得少於十日。股東所提議案以三百字為限,超過三百字者,不予 列入議案;提案股東應親自或委託他人出席股東常會,並參與該項議案討論。本公 司應於股東會召集通知日前,將處理結果通知提案股東,並將合於本條規定之議案 列於開會通知。對於未列入議案之股東提案,董事會應於股東會說明未列入之理由。 -
第十一條 本公司各股東,每股有一表決權,但本公司有發生公司法第179條規定之情事者無表決 權。 -
第十二條 股東大會如由董事會召集者,其主席由董事長擔任之,董事長請假或因故不能行使職 權時,由副董事長代理之,副董事長亦因故不能代理時,由董事長指定董事一人代理 之。 -
股東會如有董事會以外之其他有召集權人召集者,其主席由該召集權人擔任之。 -
第十三條 股東會之決議除公司法另有規定外,應有代表已發行股份總數過半數之股東出席,以 出席股東表決權過半數之同意行之。 -
依主管機關規定,本公司股東亦得以電子方式行使表決權,以電子方式行使表決權之 股東視為親自出席,其相關事宜悉依法令規定辦理。 -
第十三條之一 股東會決議事項應作成議事錄載明會議之年、月、日、場所、議事經過之要領及 結果、主席姓名及決議方法、出席股東人數、代表股權由主席簽名或蓋章並於會 後二十日內將議事錄分發各股東。議事錄之分發,得以公告方式為之。議事錄在 公司存續期間,應永久保存。出席股東簽名簿及代表出席委託書,其保存期限至 少為一年。
第四章 董事及董事會

第十四條 本公司設董事九人組成董事會,由股東會就有行為能力之人選任之,任期三年連選得 連任;本公司得為董事、經理人購買責任保險,以保障全體股東權益並降低公司經營 風險。 -
第十四條之一 本公司董事間應有超過半數之席次不得具有下列關係之一。 -
一、 配偶。 -
二、 二親等以內之親屬。 -
第十四條之二 本公司依證券交易法第14 之4 條之規定於前條董事名額中設獨立董事3 人。獨立 董事之職權行使相關事項,依照證券交易法相關法令規定辦理。 -
第十四條之三 本公司一般董事及獨立董事選舉皆採候選人提名制度,持有已發行股份總數百分 之一以上股份之股東及董事會得提出一般董事及獨立董事候選人名單,經董事會 審查其符合一般董事及獨立董事所應具備條件後,送請股東會,股東應分別就一 般董事及獨立董事候選人名單中選任之。 -
一般董事及獨立董事候選人提名之受理方式及公告等相關事宜,悉依 公司法、證券交易法相關法令規定辦理。

第十五條 本公司全體董事所持有之股份總額依行政院金融監督管理委員會訂定之「公開發行公 司董事監察人股權成數及查核實施規則」第二條規定辦理。 -
第十六條 董事組織董事會由三分之二以上董事之出席及出席董事過半數之同意推舉董事長一人、 副董事長一人,董事長對外代表本公司,董事長因故不能執行職務時,由副董事長代 理之,副董事長亦因故不能執行職務時,由董事長指定董事一人代理之。 -
第十七條 董事會之職權如左: -
一、 訂公司章程之擬議。 -
二、 公司組織規章之核定及修改。 -
三、 年度預算之核可及年度決算之審議,含年度業務計劃之審議與監督執行。 -
四、 公司在一定額度或價款(授權董事會決定)向金融機構或第三人申請融資、 保證、承兌及其他放款、舉債及營業外墊款之核可。 -
五、 重要職員之任免。 -
六、 以公司名義為背書、保證、承兌之核可。 -
七、 分支機構之設立及裁撤。 -
八、 公司轉投資其他事業之核可。 -
九、 公司財產之全部或其重要部份之典讓、出售、出租、出質抵押、或為其他 方式之處分之擬議。 -
十、 公司申請股票上市之核可。 -
十一、建廠或擴建投資計劃及其修訂或終止之核可。 -
十二、專門技術及專利權之取得、轉讓、授與及技術合作契約簽訂及其修訂或終 止之核可。 -
十三、盈餘之分派。 -
十四、公司增資、減資之擬議。 -
十五、經營或組織上之重大事項之核可。 -
第十八條 董事會由董事長召集之,並以董事長為主席,董事長缺席時由副董事長代理之,副董 事長亦因故不能代理時,由董事長指定董事一人代理之。董事會每三個月召開一次, 必要時得由董事長召開臨時董事會。本公司董事會之召集經相對人同意者得以電子方 式為之。董事會休會期間除依法提董事會討論事項外,董事會得授權董事長依法行使 董事會職權。 -
第十九條 董事會之決議除法令另有規定外,應有過半數董事之出席,以出席董事過半數之同意 行之。 -
第二十條 董事因事不能出席董事會時,得委託其他董事代理出席,但董事代理出席董事會時, 以受一人之委託為限。
第五章 審計委員會
第二十一條 本公司依法設置審計委員會,並由全體獨立董事組成。

第二十二條 公司法、證券交易法及其他法律規定應由監察人行使之職權事項, -
由審計委員會行之。 -
第二十三條 審計委員會之人數、任期、職權議事規則及行使職權時公司應提供 資源等事項,以審計委員會組織章程依法另訂之。。
第六章 經理人

第二十四條 本公司得由董事會衡量集團營運組織需要,設置執行長、營運長、總經理、副總經 理或其他為配合公司營運或管理上需求之經理人。 -
上述經理人各得有一人或數人,各經理人應秉承董事會決議之政策與經營方針及 董事長之命,綜理負責執行其被分配權責範圍內之一切業務。 -
第二十五條 執行長、營運長及總經理對董事長負責,其委任、解任及報酬依公司法第二十九條 相關規定辦理。
第七章 會 計
第二十六條 本公司會計年度定為自一月一日起至十二月卅一日止。
第二十七條 本公司年終決算後董事會應造具下列表冊,提交股東會請求承認:

一、 營業報告書。 -
二、 財務報表。 -
三、 盈餘分派或虧損,彌補之議案。
第二十七條之一

公司年度如有獲利,應提撥不高於百分之三的董事酬勞及不得低於百分之一及高於 百分之八的員工酬勞。董事酬勞及員工酬勞分派案應提股東會報告。 -
但公司尚有累積虧損時,應預先保留彌補數額,再依前項比例提撥董事酬勞及員工 酬勞。 -
員工酬勞得以現金或股票方式分派發放,其發放對象得包括符合一定條件之從屬公 司員工,該一定條件由董事會或其授權之人訂定之。 -
第二十八條 為公司永續經營及業務成長之需要,並顧及維持獲利能力,擬具本公司股利政策。 一、 分派條件與時機:年度結算如有盈餘,應於完納稅捐,彌補歷 年累積虧損及提列百分之十為法定盈餘公積,再依法令或主管機關規定提 撥或迴轉特別盈餘公積,如尚有盈餘再就所餘盈餘,提撥百分之二十五至 百分之九十九的股東紅利。 -
二、 特別盈餘公積提列:除公司依實際需要提列外,應依證券交易法第四十一 條第一項規定,就當年度發生之帳列股東權益減項金額,自當年度稅後盈 餘與前期未分配盈餘提列相同數額之特別盈餘公積,嗣後股東權益數額如 有迴轉時,得就其迴轉部份分配盈餘。 -
三、 分派之金額與種類:每年依法由董事會擬具股東紅利分配案,提報股東會。 股東紅利之分派採現金股利及股票股利二種方式配合發放,其中現金股利 方式發放不得低於百分之十,其餘為股票股利。
第二十九條 本公司董事執行本公司職務時,不論公司營業盈虧,公司得支給報酬,授權董事會
議依同業通常水準支給議定之。

第一條 本公司股東會議事,除法令另有規定者外,依本規則行之。 -
第二條 股東會受理股東報到時間至少應於會議開始前三十分鐘辦理之;報到處應有明確標示, 並派適足適任人員辦理之。 -
股東本人或股東所委託之代理人(以下稱股東)應憑出席證、出席簽到卡或其他出席證件 出席股東會;屬徵求委託書之徵求人並應攜帶身分證明文件,以備核對。 -
本公司應設簽名簿供出席股東簽到,或由出席股東繳交簽到卡以代簽到。 -
本公司應將議事手冊、年報、出席證、發言條、表決票及其他會議資料,交付予出席股 東會之股東;有選舉董事者,應另附選舉票。 -
政府或法人為股東時,出席股東會之代表人不限於一人。法人受託出席股東會時,僅得 指派一人代表出席。 -
出席股數依簽名簿或繳交之簽到卡計算之。 -
第三條 股東會之出席與表決,應以股份為計算基準,加計以書面或電子方式行使表決權股數計 算之。 -
第四條 股東會召開之地點,應於本公司所在地或便利股東出席且適合股東會召開之地點為之, 會議開始時間不得早於上午九時或晚於下午三時。 -
第五條 股東會如由董事會召集者,其主席由董事長擔任之董事長請假或因故不能行使職權時, 由副董事長代理之,副董事長亦因故不能代理時,由董事長指定董事一人代理之。 主席係由董事代理者,以任職六個月以上,並瞭解公司財務業務狀況之董事擔任之。主 席如為法人董事之代表人者,亦同。 -
股東會如由董事會以外之其他有召集權人召集者,其主席由該召集權人擔任之。 -
第五條之一 股東會開會三十日前或股東臨時開會十五日前,應將股東會開會通知書、委託書用 紙、有關承認案、討論案、選任或解任董事事項等各項議案之案由及說明資料製作成電 子檔案傳送至公開資訊觀測站。並於股東常會開會二十一日前或股東臨時會開會十五日 前,將股東會議事手冊及會議補充資料,製作電子檔案傳送至公開資訊觀測站。股東會 開會十五日前,備妥當次股東會議事手冊及會議補充資料,供股東隨時索閱,並陳列於 公司及其股務代理機構,且應於股東會現場發放。 -
第六條 公司得指派所委任之律師,會計師或相關人員列席股東會。辦理股東會之會務人員應佩 戴識別證或臂章。 -
第七條 股東會之決議事項,應作成議事錄,由主席簽名或蓋章,並於會後20日內,將議事錄分 發各股東。前項議事錄之分發對持有記名股票未滿一千股之股東,得以公告方式為之。

議事錄應記載:會議之年、月、日、場所、主席姓名及決議方法,並應記載議事經過之
要領及其結果。
議事錄在公司存續期間應永久保存。出席股東之簽到簿或簽到卡及代理出席之委託書應
保存一年。
公司應將股東會之開會過程全程錄音及錄影。
影音資料應至少保存一年。但經股東依公司法第一百八十九條提起訴訟者,應保存至訴
訟終結為止。
第八條 已屆開會時間,主席應即宣布開會,惟未有代表以發行股份總數過半數之股東出席時,
主席得宣布延後開會,其延後次數以二次為限,延後時間合計不得超過一小時。延後二
次仍不足額而有代表已發行股份總數三分之一以上股東出席時,得依公司法第一百七十
五條第一項規定為假決議。於當次會議未結束前如出席股東所代表股數已發行股份總數
過半數時,主席得將作成之假決議,依公司法第一百七十四條規定重新提請大會表決。
第九條 股東會如由董事會召集者,其議程由董事會訂定之,會議應依排定之議程進行,非經股
東會決議不得變更之。
股東會如由董事會以外之其他召集權人召集者,準用前項之規定。前二項排定之議程於
議事(含臨時動議)未終結前,非經決議,主席不得逕行散會。
會議散會後,股東不得另推主席於原址或另覓場所續行開會。
第十條 會議進行中,主席得酌定時間宣佈休息。
第十一條 出席股東發言前,須先填具發言條載明發言要旨、股東戶號(或出席證編號)及戶名,
由主席定其發言順序。
出席股東僅提發言條而未發言者,視為未發言。發言內容與發言條記載不符者,以發
言內容為準。
出席股東發言時,其他股東除經徵得主席及發言股東同意外,不得發言干擾,違反者
主席應予制止。
第十二條 同一議案每一股東發言,非經主席之同意不得超過兩次,每次不得超過五分鐘。 股東發言違反前項規定或超出議題範圍者,主席得制止其發言。
第十三條 法人受託出席股東會時,該法人僅得指派一人代表出席。
法人股東指派二人以上之代表出席股東會時,同一議案僅得推由一人發言。
第十四條 出席股東發言後,主席得親自或指定相關人員答覆。
第十五條 主席對於議案之討論,認已達可付表決之程度時,得宣布停止討論,提付表決。
第十六條 議案表決之監票及計票人員,由主席指定之,但監票人員應具有股東身分。
股東會表決或選舉議案之計票作業應於股東會場內公開處為之,且應於計票完成後,
當場宣布表決結果,包含統計之權數,並作成紀錄。

股東會有選舉董事時,應依本公司所訂相關選任規範辦理,並應當場宣布選舉結果,
包含當選董事之名單與其當選權數。

第十七條 議案之表決,除公司法及公司章程另有規定外,以出席股東表決權過半數之同意通過 之。表決時如經主席徵詢無異議者視為通過,其效力與投票表決相同。股東每股有一 表決權,但公司自己持有之股份,無表決權。 -
股東委託代理人出席股東會,除信託事業外,一人同時受二人以上股東委託時,其代 理之表決權不得超過已發行股份總數表決權之百分之三,超過時,其超過之表決權不 予計算。 -
股東對於會議之事項,有自身利害關係致有害於公司利益之虞時,不得加入表決並不 得代理他股東行使其表決權。 -
第十八條 同一議案有修正案或替代案時,由主席併同原案定其表決之順序。如其中一案已獲通 過時,其他議案即視為否決,毋庸再行表決。 -
第十九條 主席得指揮糾察員(或保全人員)協助維持會場秩序。糾察員(或保全人員)在場協助維 持秩序時,應佩戴「糾察員」字樣臂章。 -
第 廿 條 會議進行時遇空襲警報,即暫停開會,各自疏散,俟警報解除一小時後繼續開會。 -
第廿一條 本規則未規定事項悉依公司法及本公司章程之規定辦理。 -
第廿二條 本規則經股東會通過後施行。 -

第一條:本公司董事之選舉,應依本辦法之規定辦理。 -
第二條:本公司董事之選舉於股東會行之。 -
第三條:凡有行為能力之人,均得依本辦法之規定被選為本公司董事。 -
獨立董事之資格,應符合「公開發行公司獨立董事設置及應遵循事項辦法」第二條、 第三條及第四條之規定。 -
第三條之一:董事間應有超過半數之席次,不得具有配偶或二親等以內之親屬關係。 -
第四條:本公司董事之選舉應採用累積投票制,每一股份有與應選出董事人數相同之選舉權,得 集中選舉一人,或分配選舉數人。 -
本公司董事選舉依公司章程所規定之時程起採候選人提名制度,持有已發行股份總數 百分之一以上股份之股東及董事會得分別提出一般董事及獨立董事候選人名單,經董 事會審查其各自所應具備資格條件後,送請股東會,股東應分別就一般董事及獨立董 事候選人名單中選任之。 -
董事候選人提名之受理方式及公告等相關事宜,悉依公司法、證券交易法相關法令規 定辦理。 -
第四條之一:董事之選票依獨立董事與一般董事一併選舉分別計票分別當選。 -
第四條之二:董事因故解任,致不足五人者,公司應於最近一次股東會補選之。但董事缺額達章 程所定席次三分之一者,公司應自事實發生之日起六十日內,召開股東臨時會補選之。 -
第四條之三:獨立董事之人數不足證券交易法第十四條之二第一項但書、臺灣證券交易所上市審 查準則相關規定應於最近一次股東會補選之;獨立董事均解任時,應自事實發生之日 起六十日內,召開股東臨時會補選之。 -
第五條:本公司董事,依公司章程所規定之名額,依選舉票統計結果,由所得選舉票代表選舉權 數較多者,分別當選為獨立董事及一般董事。如有二人或二人以上所得權數相同而超 過規定名額時,由得權數相同者抽籤決定,未到場者由主席代為抽籤。 -
當選之董事經查核確認其個人資料不符或依相關法令規定當選失其效力者,其缺額由 原選次多數之被選舉人於當次股東會中宣佈遞充。 -
第六條:董事會應印製選舉票,選票上除加蓋本公司印章外,應將選舉人股東戶號及選舉權數填 列於選票上。 -
第七條:選舉開始前,應由主席指定監票、記票員各若干人,執行各項有關職務,但監票人員應 具有股東身份。 -
第八條:投票櫃由董事會製備,並於投票前由監票員當眾開驗。

第九條:被選舉人如為股東身分者,選舉人須在選舉票「被選舉人」欄填明被選舉人戶名及股東 戶號;如非股東身分者,應填明被選舉人姓名及身分證明文件編號。惟政府或法人股 東為被選舉人時,選舉票之被選舉人戶名欄應填列該政府或法人名稱,亦得填列該政 府或法人名稱及其代表人姓名;代表人有數人時,應分別加填代表人姓名。 -
第十條:選票有下列情形之一者視同無效作為廢票: -
(1) 不用本辦法所規定之選票者。 -
(2) 以空白選票投入投票櫃者。 -
(3) 字跡模糊無法辨認者。 -
(4) 所填被選舉人之姓名、戶號,及分配選舉權數之任何一項,有塗改者。 -
(5) 所填被選舉人如為股東身分者,其戶名、股東戶號與股東名簿不符者,所填被選 舉人如非股東身分者,其姓名、身分證統一編號經核對不符者。 -
(6) 除填被選舉人之戶名(姓名)或股東戶號(身分證統一編號)及分配選舉權數外,夾 寫其它文字者。 -
(7) 所填被選舉人名額超過規定應選名額者。 -
(8) 分配選舉權數合計超過選舉人持有選舉權數者。 -
(9) 採候選人提名制時,所填被選舉董事,不在董事候選人名單中者。 -
第十一條:分配選舉權數合計少於選舉人持有選舉權數時,所減少之權數視為棄權。 前項選舉事項之選舉票,應由監票員密封簽字後,妥善保管,並至少保存一年。但經 股東依公司法第一百八十九條提起訴訟者,應保存至訴訟終結為止。 -
第十二條:投票完畢後當場開票,開票結果應由主席當場宣布董事當選名單與其當選權數。 第十三條:本辦法未規定事項悉依公司法、本公司章程及有關法令規定辦理。 -
第十四條:本辦法經股東常會通過後施行,修改時亦同。
