CELEBRAÇÃO DE CONTRATO COM O BANCO DAYCOVAL S.A.
Nova Odessa, 21 de maio de 2026 – A Lupatech S.A. (BM3: LUPA3) (“Lupatech” ou “Companhia”), em cumprimento ao disposto na Resolução CVM n° 44/2021, comunica aos seus acionistas e ao mercado em geral a concretização de operação de empréstimo bancário com o Banco Daycoval S.A., com o valor de dívida total de US$ 5.528.154,05 (cinco milhões, quinhentos e vinte e oito mil, cento e cinquenta e quatro dólares norte-americanos e cinco centavos de dólar), convertidos na presente data em R$ 27.795.558,56 (vinte e sete milhões, setecentos e noventa e cinco mil, quinhentos e cinquenta e oito reais e cinquenta e seis centavos), pelo prazo total de 629 (seiscentos e vinte e nove) dias e garantida por cessão fiduciária de direitos creditórios.

MATERIAL FACT
EXECUTION OF AGREEMENT WITH BANCO DAYCOVAL S.A.
Nova Odessa, May 21, 2026 – Lupatech S.A. (B3: LUPA3) (“Lupatech” or the “Company”), in compliance with the provisions of CVM Resolution No. 44/2021, hereby informs its shareholders and the market in general of the closing of a bank loan transaction with Banco Daycoval S.A., in a total debt amount of US$ 5,528,154.05 (five million, five hundred twenty-eight thousand, one hundred fifty-four US dollars and five cents), converted as of this date to R$ 27,795,558.56 (twenty-seven million, seven hundred ninety-five thousand, five hundred fifty-eight reais and fifty-six centavos), for a total term of 629 (six hundred and twenty-nine) days, secured by a fiduciary assignment of credit rights.
