GEFRAN CONSOLIDA LA PARTECIPAZIONE IN CZ ELETTRONICA S.R.L.
Provaglio d'Iseo (BS), 23 febbraio 2026 - Gefran S.p.A., azienda specializzata nella progettazione e produzione di sensori, componenti e soluzioni per l'automazione e il controllo dei processi industriali, facendo seguito ai comunicati stampa pubblicati in data 18 marzo 2025 e 14 aprile 2025, comunica al mercato di aver perfezionato l'acquisizione del 40% del capitale sociale di C.Z. Elettronica S.r.l., società attiva nel settore dell'elettronica industriale, per un corrispettivo totale di Euro 580.000 (corrispettivo versato in denaro, tramite l'utilizzo di mezzi propri).
L'operazione è stata realizzata mediante l'esercizio anticipato dell'opzione di acquisto già prevista negli accordi con i venditori, consentendo a Gefran di acquisire il 100% delle quote di C.Z. Elettronica S.r.l. e di consolidarne integralmente il controllo.
Con questa operazione, Gefran rafforza ulteriormente il proprio posizionamento industriale e tecnologico, valorizzando le competenze e il know-how di C.Z. Elettronica S.r.l. e favorendo una maggiore integrazione strategica e operativa all'interno del Gruppo.
L'acquisizione si inserisce nel percorso di crescita di Gefran, coerente con la strategia di sviluppo volta al rafforzamento dell'offerta e al consolidamento delle proprie competenze chiave.

GEFRAN CONSOLIDATES ITS STAKE IN CZ ELETTRONICA S.R.L.
Provaglio d'Iseo (BS), 23 February 2026 - Gefran S.p.A., a company specializing in the design and production of sensors, systems and components for industrial process automation and control, following the press releases published on 18 March 2025 and 14 April 2025, announces to the market that it has finalized the acquisition of 40% of the share capital of C.Z. Elettronica S.r.l., a company operating in the industrial electronics sector, for a total consideration of 580,000 euros (consideration paid in cash, using own funds).
The transaction was completed through the exercise in advance of the purchase option already included in the agreements with the sellers, allowing Gefran to acquire 100% of the shares of C.Z. Elettronica S.r.l. and to fully consolidate its control.
Through this transaction, Gefran further strengthens its industrial and technological positioning, enhancing the skills and know-how of C.Z. Elettronica S.r.l. and encouraging greater strategic and operational integration within the Group.
The acquisition forms part of Gefran's growth path, consistent with its development strategy aimed at strengthening its offering and consolidating its key competences.
