LIST OF CANDIDATES FOR RENEWAL OF THE BOARD OF DIRECTORS FILED BY THE SHAREHOLDER FINGEFRAN S.r.l.

In view of the annual general meeting scheduled for 20th April 2017, called upon to appoint the board of directors for the period 2016-2018, the shareholder Fingefran S.r.l., which holds 56.695% of Gefran S.p.A.'s share capital, has filed today the following list of candidates:

Candidates' personal and professional profiles

Ennio Franceschetti

Born in Provaglio d'Iseo on 5th September 1942.

Current Chairman of the Board of Gefran, he obtained an Industrial Expert's diploma from the Castelli Technical Institute in Brescia, he is the founder of the company, of which he was Managing Director up until 2004.

Maria Chiara Franceschetti

Born in Iseo on 22nd June 1969.

Current Chief Executive Officer at Gefran, she is the Chairman of the Board of Directors of Fingefran S.r.l., Gefran S.p.A.'s controlling shareholder.

She graduated in Mechanical Engineering from Brescia University, became Director of 3S S.r.l., Varese, and later joined the Gefran Group as Information System Manager. She is currently a member of the Board of Directors of Chamber of Commerce of Brescia and a member of territorial advisory board of Unicredit S.p.A.

Giovanna Franceschetti

Born in Iseo on 3rd February 1976.

She graduated in Public Relations from the IULM institute in Milan and obtained an MA in Business Administration from the Bocconi University in Milan. Her first work experience was as Product Manager with Unilever, a multinational operating in the area of consumables.

She is currently in charge of Communication and Image at Gefran and has been the Group's Investor Relator since 2004.

She is also Board member of Ensun S.r.l. and Elettropiemme S.r.l., companies dealing in the PV business.

Andrea Franceschetti

Born in Brescia on 28th May 1977.

He obtained a Master's Degree in Economics and Management of Small Businesses in 2007 and a Master's Degree in Business Economics from Il Sole 24 Ore in 2009.

In 2001-2002 he was responsible for the Go-Fluid for Hydraulics / Pneumatics / Lubrication website of Vortal Srl.

Since 2002 he has worked for Gefran S.p.A., where he was Production Manager until 2005, then he has been Quality Manager and head of the test laboratory, Export Director for South America, International Sales Director and starting from 2015 he is Sales Director of the Business Unit Drive & Motion Control.

Alberto Bartoli

Born in Brescia on 6th June 1960.

He graduated in Business Administration in 1983 from the University of Parma. Qualification as accountant attained in Brescia in the first session of the year 1994. Enrolled in the Register of Auditors at no. 78.981.

From 1997 to 2017 he has been a member of the Board of Directors of Sabaf S.p.A., holding the office of Chief Executive Officer from 2012 until 2017.

He was also Statutory Auditor of Euroedes S.p.A. in Turin from 2001 to 2012; 2006-2009 Chairman of the Board of MR S.p.A. Development and 2009- 2012Chairman of the Board of Directors of that company; 2010-2014 Chairman of the Management Board of West Energy spa.

Bartoli also holds the following honorary positions: from 2015 arbitrator of the Brescia Industrial Association; from 2016 member of the Board of the Piano Festival of Brescia and Bergamo; from 2016 Member of the Advisory Committee of the University of Brescia - Faculty of Economics.

Monica Vecchiati

Born in Palazzolo in 1961. She is a graduate in Business Administration from the University of Bergamo (1985) and has specialized with Master's Degree in Economics and Law of the Supplementary Pension at the University of Tuscia (2009).

She is Certified Public Accountant since 1988, member of the Order of Chartered Accountants of Rome, and Statutory Auditor of Accounts, admitted to the Register of Auditors since its establishment in 1995.

She is member of the Board of Auditors, Auditor, member of the supervisory board pursuant to Legislative Decree 231/2001 of several companies, corporations and foundations.

Daniele Piccolo

Born in Milan in 1962, he completed his professional training on financial markets and marketing at the following educational establishments: SDA Bocconi in Milan, HEC in Paris, EFMA in Paris, Lafferty in London and Istud Business School in Milan. Between 1982 and 2007 he held numerous posts of increasing importance, in the Credito Emiliano Group. From 2001 to 2006 he was Managing Director of Istifid S.p.A., Milan. From February 2007 to 2015 he was General Co-Director of Banca Albertini Syz & C. S.p.A.

He is currently General Manager of Banca Cesare Ponti S.p.A. and a member of the Board of Centro Fiduciario S.p.A.

Mario Benito Mazzoleni

Born in Milan on January 24, 1957, he graduated from the Bocconi University (1980-81 academic year) in Business Administration with specialization in Economics of Public Administrations.

Since 1992 he is Associate Professor of Business Economics, University of Brescia. Since 1988 he is Research Fellow at the Faculty of Economics, University of Brescia.

Since 2007 Professor of "NPO Strategy and Policy" at the University of Bologna / Forlì.

Since 2010 Manager and coordinator of the SMEs Master "University & Enterprise" at the University of Brescia.

Since 2012 Coordinator of the ISUP (Italian Start Up) Master Association of the Industrial Association of Brescia and of the "University & Enterprise" program at the University of Brescia.

Romano Gallus

Born in Lumezzane, Brescia, on 24th November 1941.

Entrepreneur and founder of GV Stamperie S.p.A., a brass-moulding company of which he is Managing Director.

He has been a member of the Board of Directors of Gefran S.p.A. since 2000 and Vice-Chairman since 2004.
