Century Wind Power Co., Ltd., 2021 Annual General Meeting Notice

●The 2021 Annual General Meeting will be held at 2:00 PM on Friday, May 28, 2021 at the Company’s meeting room, located at 4 F., No. 1119 Zhongshan Road, Sec.1, Guanin District, Taoyuan City. We shall accept report for participation from shareholders at 1:30 PM, at the venue exactly same as the meeting location.

1. Status Reports:

• (1) 2020 business operations

• (2) Audit Committee’s report of 2020 audited financial reports

• (3) 2020 distributable compensation for employees and directors

• (4) Distribution of cash dividend from earnings for 2020

• (5) Revision of some articles of the company’s “Rules of Procedure of Board Meetings”

1. Approval Items:

• (1) Recognition of 2020 business report and financial statements

• (2) Recognition of earnings distribution for 2020

1. Discussion Items:

• (1) Proposal of amending some provisions of the Company’s “Procedure for Acquisition or Disposal of Assets”

• (2) The company’s plan to apply for share listing

• (3) Cash capital increase for the public underwriting of initial public (OTC) offering, and the full abandonment of subscription by original shareholders

1. Extraordinary Motions

● The Company Act, Article 165, instructed the book close period for ordinary shares to run from the duration of March 30, 2021 to May 28, 2021
