RESOLUTION OF THE BOARD OF DIRECTORS

HỘI ĐỒNG QUẢN TRỊ CÔNG TY CỔ PHẦN TRANSIMEX

THE BOARD OF DIRECTORS OF TRANSIMEX CORPORATION

• Căn cứ Luật Doanh nghiệp năm 2020;
  Pursuant to the Enterprise Law 2020;

• Căn cứ Nghị định số 153/2020/NĐ-CP ngày 31/12/2020 quy định về chào bán, giao dịch trái phiếu doanh nghiệp riêng lẻ tại thị trường trong nước và chào bán trái phiếu doanh nghiệp ra thị trường quốc tế (“Nghị định 153”);
  Pursuant to the Decree No. 153/2020/ND-CP dated December 31st, 2020 on private placement of corporate bonds and trading of privately placed corporate bonds in the domestic market and offering of corporate bonds to the international market (“Decree No. 153”);

• Căn cứ Nghị định số 65/2022/NĐ-CP ngày 16/09/2022 và Nghị định số 08/2023/NĐ-CP ngày 05/03/2023 sửa đổi bổ sung một số điều của Nghị định 153;
  Pursuant to the Decree No. 65/2022/ND-CP dated September 16th, 2022 of the Government amending and supplementing a number of articles of the Government’s Decree No. 153;

• Căn cứ Điều lệ của Công ty Cổ phần Transimex;
  Pursuant to the Charter of Transimex Corporation;

• Căn cứ Nghị quyết Hội đồng quản trị số 30/NQ.HĐQT NK6-TMS ngày 09/08/2024 về việc thông qua phương án phát hành trái phiếu riêng lẻ (“Trái phiếu TMSH2426001”);
  Pursuant to the Resolution of the Board of Directors No.30/NQ.HĐQT NK6-TMS dated August, 09th 2024 approving the plan of private placement of Transimex corporate bond (“TMSH2426001 Bond”);

• Căn cứ các điều khoản và điều kiện Trái phiếu TMSH2426001;
  Pursuant to the terms and conditions of TMSH2426001 Bond;

• Căn cứ Biên bản kiểm phiếu lấy ý kiến thành viên Hội đồng quản trị bằng văn bản số 40/BB.HĐQT NK6-TMS ngày 12 tháng 05 năm 2025 của Công ty Cổ phần Transimex,
  Pursuant to the Minutes of the Voting on the Written Opinion of the Board of Directors No. 40/BB.HĐQT NK6-TMS dated May 12th, 2025 of Transimex Corporation,

QUYẾT NGHỊ/RESOLVED:

Điều 1. Thông qua phương án mua lại trước hạn Trái phiếu TMSH2426001 của Công ty Cổ phần Transimex.

Article 1. Approving the plan for early redemption TMSH2426001 Bond of Transimex Corporation.

1. Thông qua phương án mua lại trước hạn Trái phiếu TMSH2426001 của Công ty Cổ phần Transimex.

Approving the plan for early redemption TMSH2426001 Bond of Transimex Corporation.

Phương án mua lại trước hạn Trái phiếu TMSH2426001 của Công ty Cổ phần Transimex được đính kèm theo Nghị quyết này.

Details of the Plan for early redemption TMSH2426001 Bond of Transimex Corporation are attached to the Resolution.

1. Thông qua việc giao quyền cho Chủ tịch Hội đồng quản trị đại diện và thay mặt cho Công ty Cổ phần Transimex, với tư cách là Tổ chức Phát hành Trái phiếu, để thực hiện các công việc liên quan đến việc thực hiện Phương án bao gồm:

Approving the delegation of authority to the Chairman of the Board of Directors to represent and act on behalf of Transimex Corporation as the Bond Issuing Organization, to carry out tasks related to the implementation of the Plan, including:

2.1 Đánh giá hiệu quả cân đối nguồn vốn và quyết định việc thực hiện Phương án mua lại trước hạn;

To evaluate the effectiveness of the replaced capital source and decide on the implementation of the Early Redemption Plan;

2.2 Ký kết các văn bản, hồ sơ, chứng từ;

To sign relevant dossiers and documents;

2.3 Quyết định các mốc thời gian thực hiện quyền;

To Decide on the timeframes for exercising bondholder’s rights;

2.4 Triển khai các công việc liên quan khác nhằm mục đích hoàn tất Phương án.

To implement other related works for the purpose of completing the Plan

Điều 2. Điều khoản thi hành.

Nghị quyết này có hiệu lực kể từ ngày ký. Các Thành viên Hội đồng quản trị, Ban Tổng Giám đốc và các Đơn vị, Phòng ban, cá nhân liên quan chịu trách nhiệm thi hành Nghị quyết này.

Article 2. This Resolution shall take effect from the date of signing. The members of the Board of Directors, the Board of General Directors, and the relevant Units, Departments, and individuals shall be responsible for the implementation of this Resolution.

II. Phương án mua lại trước hạn/Plan for early redemption

1. Điều kiện, điều khoản về việc Mua lại Trái Phiếu trước hạn theo yêu cầu của Tổ Chức Phát Hành (Căn cứ Phụ lục 1 Các Điều Kiện Trái Phiếu đính kèm Bản Công Bố Thông Tin Phát Hành Trái Phiếu)

Terms and conditions on Early Redemption under the Right to request of Issuer (pursuant to the Annex 1 Bond’s Terms and Conditions enclosed with in Bond Issuance Information Disclosure)

Vào ngày tròn 01 (một) năm kể từ Ngày Phát Hành (“Ngày Mua Lại Theo Yêu Cầu Của Tổ Chức Phát Hành”), Tổ Chức Phát Hành có quyền thực hiện mua lại một phần hoặc toàn bộ Trái Phiếu đang lưu hành và Người Sở Hữu Trái Phiếu phải bán lại Trái Phiếu theo yêu cầu của Tổ Chức Phát Hành.

On the full day of 01 (one) year from the Issuance Date (the “Redemption Date at the request of the Issuer”), the Issuer has the right to redeem part or all of the outstanding Bond and the Bondholders must resell the Bond at the request of the Issuer.

Tổ Chức Phát Hành phải thực hiện thông báo cho Người Sở Hữu Trái Phiếu trước ít nhất 03 (ba) tháng so với Ngày Mua Lại Theo Yêu Cầu Của Tổ Chức Phát Hành, nêu rõ số lượng, giá thực hiện mua lại Trái Phiếu trước hạn và Ngày Mua Lại Theo Yêu Cầu Của Tổ Chức Phát Hành.

The Issuer must notify the Bondholders at least 03 (three) months in advance of the Redemption Date at the request of the Issuer, clearly stating the quantity and price of the Bond to be early redeemed and the Redemption Date at the request of the Issuer.

2. Phương thức Tổ Chức Phát Hành thực hiện Mua lại Trái Phiếu trước hạn

• Tổng số lượng Trái Phiếu mua lại: 1.000 trái phiếu

Total number of Bonds to redeem: 1.000 Bonds.

Tương đương mua lại 100% lượng trái phiếu đang lưu hành của các Người Sở Hữu Trái Phiếu.

It equals to 100% of the outstanding Bond owning by the Bondholders.

• Tổng khối lượng Trái Phiếu mua lại (theo mệnh giá): 100.000.000.000 VND (Một trăm tỷ đồng)

Total principal amount of Bond to redeem: 100,000,000,000 VND

• Phương thức tổ chức mua lại/Redemption method:

Tổ Chức Phát Hành thực hiện thủ tục mua lại Trái Phiếu trước hạn theo trình tự được quy định tại Quy chế thực hiện quyền của Tổng Công ty Lưu ký và Bù trừ chứng khoán Việt Nam và pháp luật liên quan.

The Issuer exercises the early redemption right according to the process specified in the Regulation on the exercise of rights of the Vietnam Securities Depository and Clearing Corporation and relevant regulations.

• Ngày đăng ký cuối cùng để thực hiện quyền: Ủy quyền cho Chủ tịch Hội đồng quản trị quyết định.

The record date of the list of beneficiary Bondholders: Authorize the Chairman of the Board of directors to decide.

• Ngày thực hiện mua lại: 13/08/2025.

Redemption Date: 13th August 2025

• Giá mua lại: Giá mua lại bằng 100% tổng Mệnh Giá Trái Phiếu được đề nghị mua lại cộng với Lãi, lãi phạt và các chi phí khác (nếu có) chưa thanh toán tới Ngày Mua Lại Theo Yêu Cầu Của Tổ Chức Phát Hành.

Redemption price: The redemption price is equal to 100% of the total Par value of the early redeemed Bond plus interest, penalty interest and other expenses (if any) that have not been paid up to the Redemption date at the request of the Issuer.

• Nguồn vốn mua lại: Từ nguồn vốn chủ sở hữu và/hoặc các nguồn vốn huy động và/hoặc các nguồn vốn hợp pháp khác của Công ty.

Source of capital for redemption: Equity and/or mobilized capital and/or other lawful capital sources of the Company.

• Sau khi Tổ chức Phát hành thực hiện mua lại và thanh toán cho Người sở hữu Trái phiếu thì các Trái phiếu TMS12401 (TMSH2426001) đã được mua lại sẽ bị hủy bỏ.

After making payment to Bondholders, the redeemed TMS12401 (TMSH2426001) Bond will be cancelled.
