Under the Atomos All Employee Incentive Plan 2021 (AE Plan) established under the Atomos Equity Incentive Plan, eligible employees may sacrifice an annual capped amount to acquire shares and receive one matching right to acquire or be issued an additional Share for each acquired share held at no additional cost. The matching rights will vest 2 years following the date of grant provided the participant is still an employee of the Atomos group at the time of vesting, and subject to the terms and conditions of the matching rights. Acquired shares sold during the period of 2 years from the date of acquisition will result in the forfeiture of an equivalent number of unvested matching rights.
