Completion of Flanders Scientific acquisition
Settlement funded by CBA Finance Facility
Melbourne, Australia - Atomos Limited ('ASX:AMS', 'Atomos' or the 'Company'), a global leader in professional video monitoring and workflow tools, is pleased to announce it has completed the acquisition of 100% of the issued capital of Dan Desmet & Associates, Inc., doing business as Flanders Scientific, Inc. (FSI).
FSI a long-standing, and trusted global brand providing a suite of highly calibrated professional reference monitors with a global reputation for expertise in colour science & reference display technology. The acquisition of FSI expands the Atomos ecosystem by incorporating products that address critical customer challenges further along the video production process.
Post synergies and before any revenue growth FSI is expected to generate annual EBITDA of $1m.
The upfront consideration paid was approximately $2.35m in cash and 5,602,592 in AMS shares.
Settlement of CBA Finance Facility
Atomos has executed required security and financing documentation with the Commonwealth Bank of Australia (CBA) for a new $10m Business Finance Facility (Finance Facility) (refer announcement on 10 April 2026).
To fund the completion payments, Atomos has drawn on the Finance Facility, with the remaining loan proceeds being used to accelerate Atomos Product Development, increase Inventory holdings and provide general working capital for both Atomos and FSI.
Concurrent with the Finance Facility, Atomos has executed an Amendment Deed under the Monreii facility reducing the funding costs from 20% per annum to 13%, an approximate saving of $0.7m annually.
