3. Reliance on the 3% Creep Exception (Section 611, Item 9)

The increase in voting power disclosed in the accompanying Form 604 has been made in reliance on the 3% creep exception permitted under item 9 of section 611 of the Corporations Act 2001.

Under this exception, a person who has held at least 19% voting power for a continuous period of at least six months may acquire up to an additional 3% voting power every six months without triggering the mandatory takeover provisions in section 606.

The associate group has complied with statutory requirements, including:

  • Maintaining voting power above 19% for the relevant six‑month period;

  • Ensuring the net acquisition does not exceed 3% within that period;
