Completion of Novation Arrangements and Company Update

Atomos Limited ( ASX:AMS , ‘ Atomos’ or the ‘ Company’ ) refers to its announcement dated 13 October 2023, regarding the transfer of the working capital facility held with Arrowpoint Capital Finance 103 Pty Ltd ( Debt Facility ) to Domazet FT3 Pty Ltd as trustee for The Domazet Family Trust No 3 ( Doma ), and the terms of the relevant Deed of Novation, Assignment and Amendment ( Novation Deed ) entered into to give effect to the transaction ( Announcemen t).

The Company is pleased to announce that the Novation Deed is unconditional as the conditions precedent have been satisfied, the transactions contemplated by the Novation Deed have now been completed and the Amended Facility (as that term is defined in the Announcement) has come into effect.

Update on Audit Process

Following the update provided to the market in the Announcement, the Board wishes to advise that it anticipates that the audit of the Company’s annual financial report will be finalised by early November.

The Board further advises that the Company is pursuing a recapitalisation plan, on which action is well progressed, and that it expects to be in a position to make a further announcement in this regard by mid-November 2023.

This announcement has been authorised for lodgement with ASX by the Company’s Chair.
