Non-Executive Director Resignation and

Reduction in Board Fees

Atomos Limited (ASX: AMS ) ( Atomos or Company ) advises that Ms Megan Brownlow will step down from her role as an independent Non-Executive Director of the Company due to competing commitments, effective from 30 June 2023. Board advisor, James Joughin, will assume the role of Chair of the Company’s Audit and Risk Committee.

Ms Brownlow joined the board as a Non-Executive Director on 1 July 2021, bringing deep experience in commercial strategy, digital transformation, media and marketing.

Atomos Chair, Paul Greenberg, acknowledged Ms Brownlow’s contribution to the Company and said, “I would like to thank Megan for her calm strength during some challenging circumstances and I know my fellow directors and Atomos’ senior executives have also greatly valued her guidance. We wish Megan well with her other commitments and future endeavours.”

The Company also advises that the independent Chair and remaining Non-Executive Director have agreed to waive their entitlements to performance rights which comprise 25% of their gross remuneration and to take a 50% reduction in cash-based directors’ fees, with effect from 1 July 2023. This will result in a reduction of the Chair’s total annual remuneration from $150,000.00 to $56,250.00 and a reduction of non-executive directors’ annual fees from $100,000.00 to $37,500.00, to take account of the Company’s current circumstances and assist cash preservation. The Board is further grateful to advisor, James Joughin, for agreeing concessional rates to assist the Company.
