Re: Notice of Pro-rata Offering

Pursuant to Section 2.1.2(1) of National Instrument 45-106 Prospectus Exemptions , this letter serves as notice that Melodiol Global Health Limited, an Australian company (the "Company"), is conducting a pro-rata offering of options to purchase underlying ordinary shares of the Company that is being extended to its shareholders resident in Nova Scotia.

Please find attached an officer's certificate of the Company supporting the Company's reliance on the exemption.

A copy of the materials delivered to other shareholders for the options offering and concurrently sent to the Company’s shareholders in Nova Scotia is enclosed with this letter.
