PROPOSED PLACEMENT OF UP TO 135,000,000 NEW ORDINARY SHARES IN THE CAPITAL OF THE COMPANY AT S$0.0239 PER PLACEMENT SHARE

• RECEIPT OF LISTING AND QUOTATION NOTICE

Unless otherwise defined, all capitalised terms used herein shall bear the same meanings as ascribed to them in the announcement dated 31 July 2025 and circular dated 6 August 2025 (the “ Announcement ”).

The Board of Directors (the " Board " or " Directors ") of TOTM Technologies Limited (the “ Company ” and together with its subsidiaries, the " Group ") refers to the Announcement in relation to the Proposed Placement.

Further to the Announcement, the Board is pleased to announce that the Company has, on 8 August 2025, received the listing and quotation notice (the “ LQN ”) from the Singapore Exchange Securities Trading Limited (the “ SGX-ST ”) for the listing of and quotation of the Placement Shares, subject to the following:

• (i) Shareholders’ approval being obtained at an extraordinary general meeting to be convened; and

• (ii) Compliance with the SGX-ST’s listing requirements.

The LQN is not to be taken as an indication of the merits of the Proposed Placement, the Placement Shares, the Company and/or its subsidiaries.

The Board will make further announcement(s) in relation to the Proposed Placement as and when required.

Shareholders and potential investors of the Company are advised to exercise caution when dealing in the Company ’ s securities. When in doubt, shareholders and potential investors are advised to seek independent advice from their bank managers, stockbrokers, solicitors or other professional advisers.
