PROPOSED PLACEMENT OF UP TO 220,520,000 NEW ORDINARY SHARES IN THE CAPITAL OF THE COMPANY AT $0.025 PER PLACEMENT SHARE

Unless otherwise defined, all capitalised terms used herein shall bear the same meanings as ascribed to them in the announcements dated 18 May 2026 and 21 May 2026 (the "Announcements").
The Board of Directors (the "Board" or "Directors") of TOTM Technologies Limited (the "Company", together with its subsidiaries, the "Group") refers to the Announcements in relation to the Proposed Placement.
The Board wishes to announce that the Proposed Placement has been completed today, and the Company has allotted and issued 220,520,000 Placement Shares in accordance with the terms and conditions set out in the Placement Agreement.
The Placement Shares will rank pari passu and carry all rights similar to the existing Shares, except for any dividends, right, allotment or other distributions, the record date for which falls on or before the issue date of the Placement Shares.
Following completion, the share capital of the Company has increased from 1,518,740,622 Shares to 1,739,260,622 Shares.
The Placement Shares are expected to be listed on 29 May 2026.
