TERNA: 2024 CALENDAR OF CORPORATE EVENTS
Rome, 29 January 2024 – Terna S.p.A. ("Terna") publishes the 2024 calendar of corporate events:
| 19 March 2024 | Board of Directors meeting to approve Terna S.p.A. separate and Terna Group consolidated financial statements for the year ended 31 December 2023 and the proposed allocation of profit. |

| 8 May 2024 | Board of Directors meeting to approve the Interim Report as at 31 March 2024. |
| 26 July 2024 | Board of Directors meeting to approve the Interim Financial Report as at 30 June 2024. |
| 6 November 2024 | Board of Directors meeting to approve the Interim Report as at 30 September 2024. |
Conference calls will be held following the above Board of Directors meetings in order to present the operating and financial results to the market.
A dedicated meeting for the presentation of the Industrial Plan is also scheduled for 19 March 2024, on the occasion of the disclosure of the financial statement results for the year 2023.
The Shareholders Meeting called to approve Terna S.p.A.'s financial statements as of 31 December 2023, as well as the allocation of profit, will take place in a single call on 10 May 2024.
Finally, the payment of ordinary dividends in 2024 will take place as follows:
| 26 June 2024 | payment of the final dividend for 2023, with an ex-dividend date of 24 June 2024 (the record date in accordance with art. 83-terdecies of Italian Legislative Decree no. 58 of 24 February 1998, the Consolidated Law on Finance (CLF) will be: 25 June 2024). |

| 20 November 2024 | payment of interim dividend for 2024, with an ex-dividend date of 18 November 2024 (the record date in accordance with art. 83-terdecies of Italian Legislative Decree no. 58 of 24 February 1998, the Consolidated Law on Finance (CLF) will be: 19 November 2024). |
Any changes to the above calendar will be promptly announced to the market.

Pursuant to Art. 82-ter of the CONSOB Issuers Regulation as amended by the CONSOB Resolution no. 19770 of 26 October 2016, we hereby inform that, as in the past, in 2024 TERNA S.p.A. will publish – following resolution by the Board of Directors – the consolidated results as at 31 March and at 30 September contained in the dedicated interim reports, which ensure the consistency and correctness of the additional periodic financial information provided to the public and the comparability of the related information with the corresponding data in the interim reports previously published.
The related data will be approved and reported on a voluntary basis following TERNA S.p.A.'s annual calendar communicated to the market and without prejudice to any provisions otherwise applied by current regulations. The documentation will be made available within the terms previously established and consequently within forty-five days from the end of the relevant quarter, at the Company's headquarters, on the Company website (www.terna.it), at Borsa Italiana (www.borsaitaliana.it) and from the authorised storage system (). A disclosure regarding filing will be issued.
