TERNA: RESOLUTION OF THE BOARD OF DIRECTORS AND DECISION OF THE CEO ON THE FIRST GREEN NON-CONVERTIBLE PERPETUAL SUBORDINATED HYBRID BOND WORTH € 1 BILLION HAVE BEEN PUBLISHED

Rome, 16 February 2022 - It is hereby notified that the following documents have been filed at the disposal of the public at company's registered office and published on the company's website www.terna.it:

• (i) the resolution of the Board of Directors of 18 January 2022 which authorized Terna's issuance, by 30 June 2022, of one or more non-convertible, subordinated, hybrid, perpetual bonds;
• (ii) the decision of the Chief Executive Officer of Terna, Stefano Donnarumma, of 2 February 2022 which approved the issue of a non-convertible, perpetual, subordinated hybrid bond for a total amount equal to € 1 billion.

The resolution and the decision are also published on the website of the authorised storage service () and they have also been filed with the stock exchange management company, Borsa Italiana S.p.A. (www.borsaitaliana.it).
