TERNA: 2020 CALENDAR OF CORPORATE EVENTS

Rome, 30 January 2020 – Terna S.p.A ("Terna") in order to facilitate the activity of financial-market operators, announces its 2020 financial calendar for the examination of the Company's accounts by the Board of Directors:

➢19 February 2020:	preliminary consolidated results for 2019;
➢10 March 2020:	Terna Group Consolidated Financial Statements, draft separate
	financial statement of Terna at 31 December 2019 and proposed
	allocation of income;
➢13 May 2020:	interim report at 31 March 2020;
➢29 July 2020:	half-yearly financial report at 30 June 2020;
➢11 November 2020:	interim report at 30 September 2020.

Alongside disclosure of the 2020 half-yearly financial report and interim reports, specific conference calls will be set up to present the accounting figures to financial analysts and institutional investors.

A specific meeting is also scheduled with the financial community and the media with the disclosure of the financial statement results for the year 2019 and for the presentation of the Company strategies, on 11 March 2020.

The Shareholder's Meeting called to approve Terna S.p.A.'s financial statements as of 31 December 2019, as well as the allocation of income, has been scheduled for 27 April 2020, in single call.

The payment of ordinary dividends in 2020, also bearing in mind the time frame for the Shareholders' Meeting to approve the financial statements, will occur as follows:

➢24 June 2020:	payment of final dividend for 2019, with ex-dividend date falling on 22 June 2020 (record date pursuant to art.83-terdecies of Legislative
	Decree no. 58 dated 24 February 1998, known as the "Consolidated Law
	on Finance" CLF: 23 June 2020);
➢25 November 2020:	payment of interim dividend for 2020, with ex-dividend date falling on 23
	November 2020 (record date pursuant to art.83-terdecies of Legislative
	Decree no. 58 dated 24 February 1998, known as the "Consolidated Law
	on Finance" CLF: 24 November 2020).

*** Pursuant to Art. 82-ter of the CONSOB Issuers Regulation as amended by the CONSOB Resolution no. 19770 of 26 October 2016, we inform you that, as in the past, in 2020 Terna S.p.A. will publish – following resolution by the Board of Directors – the consolidated results at 31 March and 30 September contained in the dedicated interim reports which ensure the compliance and correctness of the additional periodic financial information provided to the public and the comparability of the

relative information with the corresponding data in the interim reports previously disclosed to the public.

The relative data will be approved and disclosed on a voluntary basis following Terna S.p.A.'s annual calendar communicated to the market and without prejudice to any provisions otherwise applied by current legislation. The documentation will be made available within the terms previously established and consequently within forty-five days of the end of the relative quarter, at the Company's headquarters, on the Company website (www.terna.it), at Borsa Italiana (www.borsaitaliana.it) and from the authorised storage system (). Disclosure regarding filing will be issued.

The market will be provided with prompt notice of any changes to the above dates.
