TERNA: 2023 CALENDAR OF CORPORATE EVENTS
Rome, 30 January 2023 – Terna S.p.A. (“Terna”) publishes the 2023 calendar of corporate events:
| 22 March 2023 | Board of Directors meeting to approve Terna S.p.A. separate and Terna Group consolidated financial statements for the year ended 31 December 2022 and the proposed allocation of profit. |

| 10 May 2023 | Board of Directors meeting to approve the Interim Report as at 31 March 2023. |
| 27 July 2023 | Board of Directors meeting to approve the Interim Financial Report as at 30 June 2023. |
| 8 November 2023 | Board of Directors meeting to approve the Interim Report as at 30 September 2023. |
Conference calls will be held following the above Board of Directors meetings in order to present the operating and financial results to the market.
The Shareholder's Meeting called to approve Terna S.p.A.’s financial statements as of 31 December 2022, as well as the allocation of profit will take place in a single call on a date between 8 and 15 May 2023.
Finally, the payment of ordinary dividends in 2023 will take place as follows:
| 21 June 2023 | payment of the final dividend for 2022, with an ex-dividend date of 19 June 2023 (a record date in accordance with art. 83-terdecies of Italian Legislative Decree no. 58 of 24 February 1998, the Consolidated Law on Finance (CLF): 20 June 2023). |

Any changes to the above calendar will be promptly announced to the market.

Pursuant to Art. 82-ter of the CONSOB Issuers Regulation as amended by the CONSOB Resolution no. 19770 of 26 October 2016, we hereby inform that, as in the past, in 2023, Terna S.p.A. will publish – following resolution by the Board of Directors – the consolidated results as at 31 March and 30 September contained in the dedicated interim reports, which ensure the consistency and correctness of the additional periodic financial information provided to the public and the comparability of the related information with the corresponding data in the interim reports previously published.
The related data will be approved and reported on a voluntary basis following Terna S.p.A.'s annual calendar communicated to the market and without prejudice to any provisions otherwise applied by current regulations. The documentation will be made available within the terms previously established and consequently within forty-five days from the end of the relevant quarter, at the Company's headquarters, on the Company website (www.terna.it), at Borsa Italiana (www.borsaitaliana.it) and from the authorised storage system "1Info" (www.1info.it). A disclosure regarding filing will be issued.
