SOLIDWORLD GROUP: RETTIFICA STRIKE PRICE WARRANT "SOLID WORLD GROUP 2022-2025"

Treviso, 7 aprile 2025 – SolidWorld Group S.p.A., società quotata sul mercato Euronext Growth Milan (ticker S3D) e capofila di un gruppo leader nei settori delle tecnologie industriali di design e stampa 3D, della bio-fabbricazione 3D e delle linee di produzione di macchinari per la fabbricazione di pannelli fotovoltaici di ultima generazione, ai sensi di quanto previsto dall'art. 6.1 del regolamento dei "Warrant Solid World Group 2022-2025" ("Regolamento dei Warrant") e in seguito all'avvenuto stacco del diritto di opzione a valere sull'aumento di capitale deliberato dall'assemblea del 13 novembre 2024 e i cui termini sono stati stabiliti dal Consiglio di Amministrazione della Società in data 26 marzo 2025, comunica che si rende necessario procedere con la rettifica del prezzo di esercizio del terzo (e ultimo) periodo di esercizio, come definito dal Regolamento dei Warrant.

Nello specifico, il prezzo di sottoscrizione delle azioni di compendio dei warrant sarà diminuito di un importo, arrotondato al millesimo di Euro inferiore, pari a (PCUM-PEX), ove:

• PCUM rappresenta la media aritmetica semplice degli ultimi cinque prezzi ufficiali "cum diritto" di opzione dell'azione dell'Emittente registrati su Euronext Growth Milan;
• PEX rappresenta la media aritmetica semplice degli ultimi cinque prezzi ufficiali "ex diritto" di opzione dell'azione dell'Emittente registrati su Euronext Growth Milan.

Tenuto conto che il PCUM è pari a Euro 1,334 e il PEX è pari e Euro 1,312 e che quindi la differenza tra i due valori è pari ad Euro 0,022, il prezzo di sottoscrizione delle azioni di compendio per il Terzo Periodo di Esercizio è rettificato da Euro 2,420 a Euro 2,398.

SOLIDWORLD GROUP: "SOLID WORLD GROUP 2022-2025" WARRANT STRIKE PRICE RECTIFICATION

Treviso, 7 April 2025 – SolidWorld Group S.p.A., a company listed on the Euronext Growth Milan market (ticker S3D) and head of the Group leader in the sectors of industrial 3D design and printing technologies, 3D bio-manufacturing and latest generation machinery lines for photovoltaic panel production, pursuant to the provisions of Article 6.1 of the "Solid World Group 2022-2025 Warrants" Regulations ("Warrant Regulations") and following the detachment of the option right under the capital increase resolved by the Shareholders' Meeting of 13 November 2024 and the terms of which were established by the Company's Board of Directors on 26 March 2025, announces that it is necessary to proceed with the adjustment of the exercise price of the third (and final) exercise period, as defined by the Warrant Regulations.

Specifically, the subscription price of the conversion shares of the warrants will be reduced by an amount, rounded to the nearest thousandth of a Euro, equal to (PCUM-PEX), where:

• PCUM represents the simple arithmetic average of the last five official "right" option prices of the Issuer's share recorded on Euronext Growth Milan;
• PEX represents the simple arithmetic average of the last five official "ex-right" option prices of the Issuer's share recorded on Euronext Growth Milan.

Taking into account that the PCUM is equal to Euro 1.334 and the PEX is equal to Euro 1.312 and that therefore the difference between the two values is equal to Euro 0.022, the subscription price of the conversion shares for the Third Period of Exercise is adjusted from Euro 2.420 to Euro 2.398.
