SOLID WORLD GROUP: APERTURA DEL PRIMO PERIODO DI ESERCIZIO DEI "WARRANT SOLID WORLD 2022-2025" 17 LUGLIO 2023 – 31 LUGLIO 2023

Treviso, 11 luglio 2023 – Solid World Group S.p.A. (ticker S3D) (la "Società"), azienda a capo del Gruppo leader nel settore delle tecnologie digitali, della stampa 3D oltre che dell'additive manufacturing, comunica che i portatori dei "Warrant Solid World 2022-2025", codice ISIN IT0005498420 (i "Warrant"), potranno richiederne l'esercizio a decorrere dal 17 luglio 2023 al 31 luglio 2023, termine iniziale e finale compresi (il "Primo Periodo di Esercizio").

I portatori dei Warrant hanno la facoltà di sottoscrivere le Azioni di Compendio, nel rapporto di n. 1 (una) Azione di Compendio per ogni n. 2 (due) Warrant posseduti, ad un prezzo per Azione di Compendio ("Prezzo del Primo Periodo di Esercizio") pari ad Euro 2,20.

Le richieste di sottoscrizione potranno essere effettuate in qualsiasi giorno lavorativo bancario nel corso del Primo Periodo di Esercizio e dovranno essere presentate all'intermediario aderente a Monte Titoli S.p.A. presso cui sono depositati i Warrant.

Resta inteso che, qualora i titolari dei Warrant non richiedano di sottoscrivere le Azioni di Compendio entro il termine finale del Primo Periodo di Esercizio (31 luglio 2023), essi perderanno il relativo diritto, fatta salva nuovamente la facoltà di esercitare i Warrant in ognuno dei successivi Periodi di Esercizio.

L'emissione e la messa a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., delle Azioni di Compendio sottoscritte dai titolari di Warrant durante il Primo Periodo di Esercizio avranno luogo il giorno di liquidazione successivo al termine dell'ultimo giorno del Primo Periodo di Esercizio.

Le Azioni di Compendio avranno godimento pari a quello delle Azioni Ordinarie di Solid World Group negoziate su Euronext Growth Milan alla data di emissione delle Azioni di Compendio.

SOLID WORLD GROUP: OPENING OF THE FIRST EXERCISE PERIOD OF THE "2022-2025 SOLID WORLD WARRANTS"

JULY 17, 2023 TO JULY 31, 2023

Treviso, July 11, 2023 – Solid World Group S.p.A. (ticker S3D) (the "Company"), parent of a leading digital technologies, 3D printing and additive manufacturing Group, announces that holders of the "2022-2025 Solid World Warrants", ISIN code IT0005498420 (the "Warrants"), will be able to request their exercise from July 17, 2023 to July 31, 2023 (both dates inclusive) (the "First Exercise Period").

Warrant holders are entitled to subscribe to the Conversion Shares, in the ratio of 1 (one) Conversion Share for every 2 (two) Warrants held, at a price per Conversion Share ("First Exercise Period Price") of Euro 2.20.

Applications may be made on any bank business day during the First Exercise Period and must be submitted to the intermediary member of Monte Titoli S.p.A. with whom the Warrants are deposited.

It is understood that if the holders of the Warrants do not request to subscribe for the Conversion Shares by the final deadline of the First Exercise Period (July 31, 2023), they will lose the relevant right, subject again to the right to exercise the Warrants in each of the subsequent Exercise Periods.

The issuance and making available for trading, through Monte Titoli S.p.A., of the Conversion Shares subscribed by Warrant holders during the First Exercise Period will take place on the settlement day following the end of the last day of the First Exercise Period.

The Conversion Shares will have dividend rights equal to those of the "Solid World Group" Ordinary Shares traded on the Euronext Growth Milan on the date of issue of the Conversion Shares.
