The Management Board of Shoper S.A. (the _quot;Company_quot;) hereby informs thattoday it has become aware of the issuance by the National Depository forSecurities S.A. on March 18, 2024 of a statement no. 278/2024 on theconclusion of an agreement with the Company for registration in thedepository of up to 19,560 series F ordinary bearer shares with anominal value of PLN 0.10 per share under the ISIN code PLSHPR000054,issued by the Company as part of a conditional increase of the sharecapital pursuant to Resolution No. 5 of the Extraordinary GeneralMeeting of the Company dated April 15, 2021 on the issue of registeredsubscription warrants with the deprivation of the pre-emptive rights ofthe existing shareholders, conditional increase of the Company's sharecapital with the deprivation of the pre-emptive rights of the existingshareholders (_quot;Series F Shares_quot;).
The Series F Shares will be registered on the basis of settlement ordersreferred to in § 6 of the KDPW Detailed Rules of Operation in connectionwith the deregistration of subscription warrants marked with codePLSHPR000047 from which the right to subscribe for Series F Shares hasbeen exercised.
The above is related to the implementation of the Motivational Programfor Employees, the earlier stages of which the Company informed about incurrent reports number 15/2023 dated August 17, 2023, and 5/2024 datedFebruary 8, 2024.
The shares will be registered under the ISIN code: PLSHPR000054. TheCompany plans to assimilate them with the remaining listed sharesregistered under the ISIN code: PLSHPR000021.
