Report Content TheManagement Board of Shoper S.A. (the "Issuer"), based on a preliminaryanalysis of available financial results, estimates that:
Inthe 2025 the Shoper S.A. Group achieved the following financial results:
1.revenue: PLN 218.0 million, compared to PLN 192.4 million in 2024 (up13 percent)
2.adjusted EBITDA: PLN 80.0 million, versus PLN 65.8 million in 2024 (up22 percent)
3.gross profit: PLN 53.3 million, up from PLN 46.6 million in 2024 (up 14percent)
4.net profit: PLN 43.1 million, up from PLN 37.2 million in 2024 (up 16percent)
Incompliance with IFRS 15, the Group revised its historical data for 2024and the opening balance sheet as at January 1, 2024. This had nosignificant impact on the income statement, but translated into anincrease in the balance sheet item "contract liabilities."
EBITDA was adjusted for the costs of the incentive program (PLN 2.4million) and one-off costs in the total amount of PLN 2.4 million in2025. (transaction costs related to the potential acquisition of anentity in the amount of PLN 1.3 million, restructuring costs in theamount of PLN 0.7 million, and a write-off related to Selium in theamount of PLN 0.4 million).
TheIssuer also informs that the value of orders placed on the e-commerceplatform, excluding shops in the "private label" model (GMV Stores),amounted to PLN 11.8 billion in the 2025, compared to PLN 10.7 billionin the 2024 (up 10 percent). The total value of orders placed on thee-commerce platform and in all other sales channels (marketplace, API,price comparison sites, etc.), excluding shops in the "private label"model (GMV Omnichannel), amounted to PLN 21.0 billion in the 2025,compared with PLN 14.5 billion in the 2024 (up 45 percent).
Inthe fourth quarter of 2025, the Shoper S.A. Group achieved the followingfinancial results:
1.revenue: PLN 59.8 million, compared to PLN 55.0 million in the fourthquarter of 2024 (up 9 percent)
2.adjusted EBITDA: PLN 22.7 million, versus PLN 19.8 million in the fourthquarter of 2024 (up 15 percent)
3.gross profit: PLN 16.4 million, up from PLN 17.0 million in the fourthquarter of 2024 (down 3 percent)
4.net profit: PLN 13.6 million, up from PLN 13.8 million in the fourthquarter of 2024 (down 1 percent)
*Theyear-on-year decline in gross and net profit was affected by the highbase effect in 2024. This was driven by a change in the valuation of acontingent liability related to the acquisition of shares in Sempire andApilo subsidiaries, which raised the balance of the financial result inQ4 2024 by PLN 3.2 million.
TheIssuer also informs that the value of orders placed on the e-commerceplatform, excluding shops in the "private label" model (GMV Stores),amounted to PLN 3.3 billion in the fourth quarter of 2025, compared toPLN 3.0 billion in the fourth quarter of 2024 (up 8 percent). The totalvalue of orders placed on the e-commerce platform and in all other saleschannels (marketplace, API, price comparison sites, etc.), excludingshops in the "private label" model (GMV Omnichannel), amounted to PLN6.5 billion in the fourth quarter of 2025, compared with PLN 4.4 billionin the fourth quarter of 2024 (up 50 percent).
