Report Content Management Board of Shoper S.A. with its registered office in Kraków(the "Company") announces that the Company's Supervisory Board, onFebruary 5, 2025, appointed Mr. Jakub Dwernicki as a member of theCompany's Management Board, entrusting him with the role of VicePresident for Strategy and Development. Mr. Jakub Dwernicki will assumehis position on February 5, 2025.

Jakub Dwernicki is the founder and CEO of cyber_Folks - a technologygroup that has gained the trust of over 360,000 customers and generatesannual revenues exceeding PLN 550 million. He also serves as a member ofthe Supervisory Board of Vercom, a global provider of cloud-basedcommunication platforms (CPaaS).

He has extensive experience in building consumer-oriented digitalbusinesses and scaling companies through the implementation ofcomprehensive strategies in product development, marketing, and sales.He has participated in two stock exchange listings - cyber_Folks(formerly R22) in 2017 and Vercom in 2021. He has completed numerous M_amp;Atransactions, establishing a market leader in hosting and domains inPoland and Romania and transforming it into a technology leadersupporting digitalization processes for businesses and online sales. In2022, he oversaw the acquisition of MailerLite - one of the mostsignificant Polish foreign investments in the technology sector, valuedat approximately USD 100 million.

He has completed educational programs at Harvard Business School.

Mr. Jakub Dwernicki serves as the President of the Management Board(CEO) of cyber_Folks, which holds a 49.9% stake in Shoper S.A. Apartfrom this, he does not participate in any other entities engaged inbusiness activities competitive to Shoper S.A.

Mr. Jakub Dwernicki had not been listed in the Register of InsolventDebtors maintained under the Act of August 20, 1997, on the NationalCourt Register until the repeal of its provisions on December 1, 2021,nor is he listed in the National Debtors Register maintained under theAct of December 6, 2018, on the National Debtors Register
