Dear Sir/Madam, “ ” Sub: Grant of Stock Options under Employee Stock Options Scheme - 2022 ( ESOS 2022 ) Ref: Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

We wish to inform you that, pursuant to the above said Regulation and subject to the provisions of SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021 {SEBI (SBEB & SE) Regulations, 2021} and approval granted by the Members on 10[th] August 2022, the Nomination and Remuneration Committee of the Board of Directors in its meeting held today, had approved the grant of 1,50,000 stock options under ESOS 2022.

Whether the Scheme is in terms of SEBI (SBEB & YesSE) Regulations, 2021 (if applicable)3. Total number of shares covered by these Options 1,50,000 Equity Shares of face value Rs. 10/- each(Each Option is convertible into one Equity Share of theCompany).4. Pricing Formula Under this Scheme, the Exercise Price will be decidedby the Nomination and Remuneration Committee onthe basis of Market Price.However, the Exercise Price shall not be less than thepar value of the Equity Shares of the Company.Accordingly, the exercise prices are at a discount to themarket price and determined at Rs. 10/- per Option for75,000 Options and Rs.160/- per Option for 75,000Options.Market Price is determined on the basis of closing priceof the Company’s shares in the National StockExchange of India Limited on August 04, 2023.5.
