• Ref: Our earlier intimations pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 vide letter no. NSE & BSE / 2021-22 / 140 dated March 14, 2022 and NSE & BSE / 2022-23 / 19 dated April 29, 2022

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the ‘Regulations’) and further to our above-referred intimations, we wish to inform you that the necessary customary closing conditions with respect to the acquisition of MediaAgility Inc., USA and its subsidiaries in the UK, Mexico, and Singapore (‘affiliates’), have been met or waived on May 4, 2022. Consequently, MediaAgility Inc., along with its affiliates has become Wholly Owned Subsidiaries of Persistent Systems Inc., USA, a wholly-owned subsidiary of Persistent Systems Limited, with effect from May 4, 2022.

We hereby confirm that the acquisition(s) as mentioned in the above-referred intimation has now been completed.
