In terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and SEBI Circular bearing ref. no. SEBI/HO/CFD/CFD-PoD-1/P/CIR/2023/123 dated July 13, 2023 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 ('SEBI Circulars'), we wish to inform you that the Board of Directors at its meeting held on June 8, 2026, has approved the proposal of Merger of M/s. MediaAgility India Private Limited (Wholly Owned Subsidiary – Transferor) by absorption into Persistent Systems Limited (Holding Company – Transferee) as a part of internal restructuring.
The said Meger shall be subject to the receipt of necessary statutory approvals in accordance with the provisions of the Companies Act, 2013.
