OpenLearning Signs circa A$495,000 Platform SaaS Agreement With Leading Publisher in the Philippines

Manila, Philippines, 1[st] July 2025: OpenLearning Limited (ASX: OLL) the AI-powered learning management system (LMS) is pleased to announce that CE-Logic Inc., a respected leader in educational publishing and digital learning in the Philippines, has signed a new platform software-as-a-service (SaaS) agreement with OpenLearning.

Highlights

• 3-year usage-based SaaS agreement with CE-Logic to utilise OpenLearning’s LMS for a minimum of 3,000 students in year 1 and a minimum of 20,000 students in years 2 and 3.

• Total minimum contracted SaaS fees of circa A$495,000 (US$323,470) over the 3-year period, with the potential for additional revenue based on usage.

• CE-Logic evaluated multiple LMS providers and selected OpenLearning for its scalability, generative AI tools, and track record.

• Strengthens OpenLearning’s presence and growing pipeline in the Philippines .

This agreement marks another significant milestone for OpenLearning in the Philippines and follows the Company’s recently announced SaaS agreements with National University [ASX Announcement 27[th] May 2025] and St. Paul University Philippines [ASX Announcement 29[th] May 2025].

Together, these three agreements have a total minimum contract value of circa A$1.26 million over the next 3 to 5 years, demonstrating the Company’s increasing traction in the market. Additionally, the Company has a strong and expanding pipeline of substantial opportunities that are moving through the sales cycle.

The executed agreement was received by the Company after 6pm Philippine Standard Time (8:00pm Australian Eastern Standard Time) on 30[th] June 2025 with a commencement date of 1[st] October 2025. The SaaS fees payable under the agreement are determined by the number of unique students from who utilise the LMS each year, with a fixed minimum of 3,000 students in year 1, and 20,000 students per year in years 2 and 3. Besides what is outlined above, all other terms of the agreement with CELogic Inc. are customary for platform SaaS agreements with universities (a summary of which was included in section 10.3.1 of the Company’s IPO prospectus, released to the ASX announcements platform on 10 December 2019), including standard termination provisions.
