2025 ANNUAL GENERAL MEETING

CEO’s Address

Good afternoon, ladies and gentlemen.

Thank you for joining us today. I’m Stephen Turner, the CEO & Managing Director of Nutritional Growth Solutions Limited, and it is my privilege to chair this Annual General Meeting today.

As outlined in the Notice of Meeting, this will include re-election of Mr Guy Khavia as Director and Chairman, ratification of prior issue of shares and options, approval of new options and shares on conversion of notes, and approval of future issue of securities.

Before the formal business of the Meeting, I will provide a brief overview of our performance for the year and key highlights in our go-forward strategy, including a brief business update.

We will finish the Meeting with the formal business, at which point we will welcome your questions and comments on the resolutions before the Meeting.

The Notice of Meeting was sent to shareholders on 22 May 2025, and accordingly, sufficient notice of the business of this Meeting has been given. The Company Secretary has confirmed that the Meeting is properly constituted, and that a quorum is present, that proxies have been inspected and all those validly lodged have been accepted.

Before I commence, let me introduce our Board members:

2024 was was a year of both challenge and opportunity, marked by pivotal changes in leadership, fundraising, and market expansion. We faced many challenges and capitalized on many exciting new opportunities. The first quarter provided us with milestones that included a strategic investment and the appointment of a new managing director. As we moved into the second quarter, we completed commitments to raise funds to support growth, announced a consolidation, and prepared for our AGM. In the third quarter, we provided clear visibility on our operating plans and objectives with a primary focus on cost control and revenue growth. The last quarter brought NGS expansion into China, raising additional capital and changes in Board leadership.

2025 is already proving to be a pivotal year, with renewed leadership, planned retail expansion, and additional capital support laying the groundwork for long-term success. We have already seen further Board leadership changes, significant future retail expansion, appointment of a new CFO, and additional capital infusions.

As we look beyond the first quarter of 2025, we see a bright and ever-changing future. In the new and rapidly evolving world economy, we will face a multitude of uncertainties and opportunities. NGS has demonstrated time and again its ability to rapidly adjust and pivot where needed to ensure that we continue forward on a sustainable path. With a sharpened focus on our core objectives — cost control, revenue growth, and sustainable profitability — we are confident NGS is wellpositioned to deliver value to shareholders in the years ahead.

With US based operations, NGS has established strong foundations in the US$20B[1] toddler nutrition market in North America with products sold in retail (brick & mortar) and online.

2024 PERFORMANCE

Total year sales for 2024 were $2.48 m USD ($3.82 m AUD). While 2024 posed challenges due to inventory gaps and media inefficiencies, decisive cost measures and operational efficiencies delivered a significant improvement in Q1 2025 operating losses—down 61% compared to the 2024 quarterly average.

2025 Q1 PERFORMANCE AND OUTLOOK

Total revenues in Q1 were $447K USD ($688K AUD). We’re already seeing early results from Q2 initiatives and anticipate a meaningful step forward in H2 with CVS rollout and international expansion. Measures taken from December forward had a positive impact on operational costs and additional measures have been taken in Q2 to further reduce expenses in line with the revenues generated.

Operating loss in 2024 was $2,832K USD ($4,357K AUD), down about 8% from 2023. Our operating loss in Q1 2025 was $273K USD ($20K AUD), which when compared to the average in 2024 of $708K USD, represents a 61% improvement in operation expenses. We have seen even further improvements in operating costs so far in Q2 and expect the trend to continue.

So, while revenues have taken a hit due to the headwinds we are facing, NGS continues to find solutions to streamline the business and push forward to a future point of break-even.

H2 FY25: BUILDING MOMENTUM

Several exciting and new activities have occurred in Q2, and we are excited about the additional progression in the business we expect to see in the second half of 2025.

Significant Events 1H 2025:

  • Capital raise to fund inventory and expansion

  • Renewed modular in Walmart for KidzProtein and addition of 3[rd] flavor

  • Initial Export Shipments for China and Vietnam markets

  • Finalized planning for retail expansion including CVS

Significant Events 2H 2025:

  • Opening orders and DC backfill orders received from CVS and currently shipping to DC’s. Sales expected to begin in August.
