NOTICE UNDER SECTION 708A(5)(e) OF THE CORPORATIONS ACT

On 9 November 2020, iCollege Limited ( Company ) completed the issue by way of placement in the Company of 55,000,000 fully paid ordinary shares in the capital of the Company ( Shares ). The issue of the ordinary shares was previously announced by the Company on 10 November 2020.

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) that:

• a.) The Company issued the Shares without disclosure under Part 6D.2 of the Corporations Act; and

• b.) As at the date of this notice, the Company has complied with:

  • i.) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

  • ii.) section 674 of the Corporations Act; and

• c.) As at the date of this notice, there is no "excluded information" as defined in sections 708A(7) and (8) of the Act.

This notice has been authorised for release by the Board.
