ACQUISITION OF APOLLO HEALTHCARE SOLUTIONS AND APPOINTMENT OF CHIEF OPERATING OFFICER (“COO”)

iCollege Limited (ASX: ICT) is pleased to announce the appointment of Stuart Manifold as our new Chief Operating Officer. His role will be to grow the company through strategic partnerships through his contacts developed over 20 years in the VET sector. Stuart will be directly responsible for the development of the strategic direction for iCollege in close collaboration with the Board.

Stuart brings training expertise in Australia and Internationally and was previously CEO of Risktec Australasia, a specialist Crises Management and Emergency Response Training and Consulting organization with operations in over 20 countries. Under his guidance Risktec was admitted to the WA Industry and Export Awards “Hall of Fame” for services to Education internationally. Risktec was sold in 2008 to a publically listed Scottish company as part of a roll up of internationally based training organisations.

Stuart’s previous roles and expertise include:

  • Recently being the CEO for a large Group Training Organisation in Queensland and has completed several General Management Consulting Roles with safety and training organisations on the East Coast.

  • He has performed the role of CEO for Apollo Healthcare Solutions. Apollo has secured contracts with a significant global mining operator and is structured to offer services in injury management, return to work coordination and health and safety. The acquisition of Apollo fits in with the planned expansion into allied health training.

  • Performing as CEO of Risktec Australasia with operations in Australia, Indonesia, Egypt, Singapore and Azerbaijan.

  • Spent time with the GE Leadership team as the Learning and Development Leader at GE Oil and Gas and the Industry Skills Development Leader for GE ANZ.

  • Stuart has been the recipient of a 40 under 40’s award.

  • Stuart has served on the board of the Entrepreneurs Organisation in WA and has assisted significantly with a number of Perth based charities, including Ronald McDonald House and the Rachel Doherty Foundation.

Effective 1st August 2015, iCollege will acquire Apollo Healthcare Solutions Pty Ltd (“Apollo”). Apollo currently provides Nursing, Return to Work Co-ordination and Injury Management for one of the world’s largest mining companies at a significant Queensland mine site.

Via the acquisition of Apollo, iCollege will also benefit from the continued services of Susan Hollyman. Sue is a Registered Nurse (“RN”) and has experience across OHS, Rehabilitation and Return to Work coordination. She started her career with Mount Isa Mines as an Occupational Health Nurse, before working in the Power and Manufacturing sectors in Queensland and WA.

Sue has also worked with Queensland Police where she enjoyed some challenging cases and more recently started a Health Consultancy, targeting employee health and rehabilitation across multiple sectors.

The acquisition of Apollo is consistent with the iCollege strategy of acquiring businesses across a broad range of sectors that focus on delivering quality training outcomes and staffing to our clients.

The acquisition terms are as follows:

  • iCollege will acquire 100% of the shares in Apollo via the issue of shares in ICT to the value of $125,000 at an issue price of $0.15 per share.

  • The acquisition is subject to further due diligence and completion of formal contractual agreements.
