CAPITAL RAISING COMPLETED CHANGE OF NAME AND ASX CODE

DGI Holdings Limited (Company) is pleased to announce that its recent capital raising has closed oversubscribed. The Company has successfully raised $2,676,790, an amount of approximately $177,000 in excess of the minimum subscription.

The consolidation of capital has also been implemented and completed. The Company intends to proceed to allotment of the new shares under the successful capital raising and complete under the agreement with the shareholders of iCollege Pty Ltd. Following that, the Company will be in a position to announce the date on which its securities will be re-instated to quotation on ASX.

The Company also wishes to advise that the name of the Company has been changed to iCollege Limited in accordance with the shareholder approval given on 14 March 2014. The Company’s ASX code has been changed to ICT and is effective at commencement of trade tomorrow, 11 April 2014.
