ROSS COTTON RESIGNS AS NON EXECUTIVE DIRECTOR

iCollege Limited (“Company”) (ASX: ICT) wishes to announce the resignation of Mr Ross Cotton as a Non-Executive Director. The resignation takes effect immediately.

iCollege and Mr Cotton have entered into a written agreement in relation to Mr Cotton's existing loan balance the terms of which contemplate repayment within 24 months with commercial interest rates applying to any outstanding balance.

The board of iCollege wishes to thank Ross for his service both as a non executive director and as former Chairman of the business. The board wishes him success in his future endeavors.

The revised board of iCollege will now consist

• Mr Simon Tolhurst – Non-Executive Chairman

• Mr Ash Katta – Non-Executive Director

• Mr Philip Re – Non-Executive Director

• Mr Daniel Moore- Non-Executive Director
