Extension of time to hold the 2017 Annual General Meeting

iCollege Limited (“Company”) (ASX: ICT) wishes to advise that under Section 250P of the Corporations Act 2001, the Company has received approval from ASIC to extend the period to hold its Annual General Meeting (“AGM”) from 30 November 2017 to 12 January 2018. ASIC have stipulated that the Company must hold the meeting before 20 December 2017 or after 7 January 2018 but no later than 12 January 2018.

The extension has been granted to enable the Company to include the shareholder approval of the Manthano Limited acquisition in its AGM. This will avoid the Company having to incur the expenses of holding two separate shareholder meetings. Due to the length of time required to obtain the independent experts report (“IER”), lodge the notice of meeting (“NOM”) with ASX and ASIC, and to dispatch the NOM to shareholders, it appeared unlikely that a NOM that included all these matters of business (which includes the shareholder approval and the IER) would have been ready for dispatch to shareholders in time to coincide with the Company’s statutory AGM which is to be held by 30 November 2017.
