Dear Sir/ Ma’am,
This is in continuation to our earlier intimation dated 18[th] January 2022 and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9[th] September 2015, relating to Board of Directors of Newgen Software Technologies Limited (“ Company ”) having approved the acquisition of Number Theory Software Private Limited (“ Target Company ”).
We hereby inform you that today, the Company has, in line with the approval granted by the Board of Directors, completed the purchase of 100% of paid-up equity shares from the existing shareholders (i.e., Tarun Gulyani and Rajan Nagina) of the Target Company, making the Target Company a wholly owned subsidiary of the Company.
The particulars mentioned in our disclosure dated 18[th] January 2022, remains the same.
