Sub: Disclosure of reasons for delay in submission of Financial Results as required by Regulation 33 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 for the quarter and year ended 31[st] March, 2024.

Dear Sir/Madam,

With regards to the submission of Financial Results as per regulation 33 of SEBI LODR, 2015 for the quarter and year ended 31[st] March, 2024, please note that there will be a delay in the submission of the Company's financial results for the quarter and year ended 31[st] March, 2024.

This is due to the fact that the books of accounts of the subsidiary companies are being finalised, which has resulted in the delay in the preparation of consolidated financial results for the quarter and year ended 31[st] March, 2024. Hence, the Company is unable to consider its Audited financial results for the quarter and year ended 31[st] March, 2024 (Standalone & Consolidated) within prescribed timeline as per Regulation 33 of the Listing Regulations.

The date of the Board meeting for approval of the financial results will be intimated shortly.

We also request to consider the reason disclosed herein above as compliance with the requirement as per circular no. CIR/CFD/CMD-1/142/2018 dated 19[th] November, 2018 informing reason for delay in submission of financial results.

Further, pursuant to SEBI (Prohibition of Insider Trading) Regulations, 2015, the Trading Window for dealing in the securities of the Company shall remain closed for Directors, officers and designated Persons of the Company and others covered under the Regulations from the closure of business hours on 31[st] March, 2024 and shall open 48 hours after the information becomes generally available after approval of Audited financial results for the quarter and year ended 31[st] March, 2024.
