Subject: Clarification on Non-Disclosure of reasons for delay in submission of financial results for quarter ended 31[st] December, 2022

This is with regards to your email dated 11[th] July, 2023 for Non-disclosure of reasons for delay in submission of financial results for quarter ended 31[st] December, 2022.

The Board meeting of the Company was scheduled to be held on 14[th] February, 2023 for the adoption and approval of the financial results for the quarter ended 31[st] December, 2022. The prior intimation of board meeting was submitted by the Company on 06[th] February, 2023. [Intimation attached herewith as annexure A]

However, on the 13[th] February, 2023, the decision to cancel the Board meeting was taken by the management and said Board Meeting was stand cancelled due to non-availability of the financial results and management of the Company was in process of finalization of results for the quarter ended 30[th] September, 2022 and 31[st] December, 2022. The intimation of the cancellation of the board meeting was submitted by the Company on 13[th] February, 2023. [Intimation attached herewith as annexure B]

However, BSE sought clarification from the Company vide email dated 16[th] February, 2023 for not mentioning the reason for cancellation of the Board meeting and the clarification was submitted by the Company on 20[th] February, 2023.[Clarification is attached herewith as annexure C].

The Company has delayed submission of the financial results as the financial results were not ready on 13[th] February, 2023, and the Company has paid applicable SOP fine to BSE for delay in filing of financial results.
