Sub: Disclosure of reasons for delay in submission of financial results for the quarter ended 30[th] June, 2023

In accordance with Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) 2015, as amended the financial results for the period ended 30[th ] June,2023 along with the limited review report to be submitted within 45 days of the close of the quarter.

We wish to inform that due to delay in receipt of books of accounts of the Subsidiary Company which resulted in delay in the preparation of consolidated financial results for the quarter ended 30[th] June, 2023. Hence Company is unable to consider its un-audited financial results for the quarter ended 30[th] June, 2023 (Standalone & Consolidated) within prescribed timeline as per Regulation 33 of the Listing Regulations.

Board of Directors at its meeting held today i.e. On Wednesday, 09[th] August, 2023 appointed M/s. Dhadda & Associates, Chartered Accountants as the Statutory Auditor of the Company. The audit/ limited review will be conducted by the M/s. Dhadda & Associates for Q1 2023-24.

The date of the Board meeting for approval of the financial results will be intimated shortly.

We also request to consider the reason disclosed herein above as compliance with the requirement as per circular no. CIR/CFD/CMD-1/142/2018 dated 19[th] November, 2018 informing reason for delay in submission of financial results.
