Sub: Reasons for delay in submission of financial results for quarter/half year ended 30[th] September, 2023

Dear Sir/Madam,

This is with regards to the submission of Financial Results as per regulation 33 of SEBI LODR, 2015 for the quarter and half year ended 30[th] September 2023; there will be delay in the submission of the Company's financial results for the Q2 2023-24.

The delay is a result of a change in the Statutory Auditor of the Company which was necessitated after the completion of the Q1 audit on 08[th] November, 2023 by the existing auditor who had resigned on 10[th] June, 2023 stating that they will complete the Q1 2023-24 in compliance with the Para 6(A) (ii) of SERI Circular No. CIR/CFD/CMD1/114/2019 dated 18[th] October, 2019.

The incoming auditor has begun promptly the Limited Review of Q2 2023-24, however due the following reasons, need additional time to perform their duties:-

• 1) The incoming auditor is doing the Limited Review of the Company first time and therefore requires sufficient appropriate time to understand the Company business model and review the financial reporting process.

• 2) They have received the signed Limited Review Reports of Q1 2023-24 on 8[th] November, 2023; and

• 3) They also need to submit the Statement of Assets and Liabilities and Cash Flow Statement for the Half Year ended on 30[th] September, 2023.

All the above-mentioned points has regrettably resulted in a delay in submission of Q2 2023-24 Financial Results to the Bombay Stock Exchange.

We assure you that we will expedite this process and will submit the Q2 2023-24 Financial Results to BSE at the earliest possible date.
