Sub: Outcome of meeting of the Board of Directors of the Company under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations")

Dear Sir / Madam,

Further to our intimation to the stock exchanges dated 04[th] November, 2022 and pursuant to Regulation 30(6) read with Schedule III of the Listing Regulations, we wish to inform you that the Board of Directors of the Company at its meeting held on 09[th] November, 2022, have, inter alia, approved the following matters:

1. The Issuance and allotment of not more than 1,81,05,576 Equity Shares on preferential basis by swap against Equity Shares of Give Vinduet Windows And Doors Private Limited at the ratio of 1:1.345 considering the Price as per Valuation Report of Give Vinduet Windows And Doors Private Limited and Price of Modulex which shall not be less than the Floor Price to be determined on the Relevant Date which is 11[th] November , 2022, subject to approval of the shareholders and such other regulatory or statutory approvals as may be required.

The Board has approved to create, offer, issue and allot not more than 1,81,05,576 Equity Shares of face value Rs. 10 (Indian Rupees Ten) each through preferential issue by swap in accordance with the provisions of Chapter V of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended ("SEBI ICDR Regulations") and the applicable provisions of the Companies Act, 2013, as amended ("Companies Act"), for consideration other than Cash

The Details of the Preferential Issue required to be disclosed pursuant to the SEBI Listing Regulations read with the circular no. CIR/CFD/CMD/4/2015 dated September 9, 2015 issued by the Securities and Exchange Board of India ("SEBI Circular") are annexed herewith as Annexure I.

1. Draft Letter of Offer (PAS-4).

2. The draft Notice of Postal Ballot for the Preferential Issue.

The approval of shareholders for the preferential issue as indicated in para (b) above is being sought Through Postal Ballot (through remote e-voting only), and the Relevant Date, in terms of provision of ICDR Regulations for determining the floor price for issuance of the Subscription Shares would be 11[th] November, 2022. The necessary details of the Postal Ballot and e-voting will be disclosed separately.

The Information required to be submitted pursuant to Regulation 30 of the Listing Regulations is marked and attached as Annexure - I.

The Board Meeting commenced at 01:00 PM and concluded at 1.28 P.M.
