Notification of Suspension of Wogen Offtake Agreement

Mineral Commodities Ltd (“ MRC ” or the “ Company” ) advises that it has issued Wogen Pacific Limited ( “Wogen” ) with a Notice of Suspension (“Notice”) pursuant to the Pre-Finance and Marketing Agreement (“Agreement”) dated 31 July 2013 between Wogen and MRC.

The Notice informs Wogen of an MRC Material Adverse Event as defined in the Agreement, which in turn constitutes an MRC Termination Event which provides for certain rights to MRC, one of which is to suspend MRC’s obligations to sell non-magnetic product to Wogen in terms of the Agreement.

The Agreement established an arrangement between MRC (on the one hand) and Wogen (on the other hand), pursuant to which Wogen would manage the conversion and sale to its end-user customers of “Product”, defined under the Agreement to mean “ all of the mixed non-magnetic heavy mineral concentrate, meeting the Standards, emanating from the Tormin Mine during the life of that mine ”. The intention of the Agreement was that it would represent a viable arrangement for MRC, having regard to the costs involved in operating the mine to produce the Product, as well as providing Wogen with commission for its role in procuring the conversion, marketing and sale of Product.

MRC has provided Wogen with the Notice due to matters pertaining to disputed moisture and quality claims, toll treatment standards, pricing of final Product and payment delays, amongst others, which have had a material adverse effect on the above.

The suspension does not in any way affect the Company’s ability to sell garnet pursuant to the separate offtake agreement or ilmenite, however it cannot sell non-magnetic heavy mineral concentrate directly to any end-user customers of Wogen.
