WAIVER FROM LISTING RULE 14.7

Mineral Commodities Limited (ASX: MRC) ( MRC ) advises that ASX Limited has granted a waiver from listing rule 14.7 to the extent necessary to permit MRC to issue, without shareholder approval, up to $20,000,000 worth of fully paid ordinary shares pursuant to a placement ( Placement Shares ), later than 3 months after the date of the shareholders’ meeting to approve the issue of the Placement Shares, on condition that the Placement Shares are issued no later than 31 October 2012.

The issue price of the Placement Shares cannot be set any lower than 80% of the lowest average market price of MRC's shares during any period of 5 consecutive days on which sales of MRC's shares were recorded during the period between 31 May 2012 and 31 August 2012, and otherwise on the same terms and conditions approved by shareholders on 31 May 2012.

MRC will now proceed to complete the capital raising as soon as possible in accordance with the waiver conditions.
